Terms of Service

1. INTRODUCTION #

1.1 Welcome to the BuzzLocalPH platform (the “Site”). Please read the following Terms of Service carefully before using this Site or creating a BuzzLocalPH account (the “Account”) so that you are fully aware of your legal rights and obligations with respect to BuzzLocalPH Online Shop, a sole proprietorship registered in the Philippines and operated by Noel Custodio Saniel Jr. (individually and collectively referred to as “BuzzLocalPH”, “we”, “us”, or “our”).

1.2 The services we provide or make available through the Site (collectively, the “Services”) include:

• 1.2.1 the Site and all related subdomains and mobile-accessible versions;
• 1.2.2 tools and features for vendor and customer use, including vendor storefronts, order management, customer service chat, and mobile integration;
• 1.2.3 all content, data, media, and materials displayed or transmitted on or through the Site or Services, including but not limited to text, images, graphics, sounds, videos, software, application services, and other materials (collectively, the “Content”).

Any new features that enhance or augment the Services shall also be governed by these Terms of Service.

1.3 The Services provided by BuzzLocalPH include an online platform that facilitates digital commerce between independent sellers (“Vendors”) and buyers (“Buyers”) (collectively referred to as “Users” or “you”). BuzzLocalPH acts solely as a facilitator and is not a party to any agreement or contract for the sale of goods or services between Users.

• 1.3.1 The actual contract of sale is entered into directly between Buyer and Vendor.
• 1.3.2 BuzzLocalPH assumes no responsibility or liability for the performance of any obligations between Users, including but not limited to delivery, product quality, pricing, warranties, or returns.
• 1.3.3 Users are solely responsible for their listings, interactions, fulfillment, and all legal compliance related to their transactions.
• 1.3.4 While BuzzLocalPH reserves the right to moderate or remove content, profiles, or listings that violate our policies or the law, we do not guarantee pre-screening of all submitted content or Users.
• 1.3.5 We also cannot guarantee that any transaction initiated on the platform will be completed.

1.4 Prior to using the Site or registering for an Account, you must read and accept all of the terms and conditions outlined in this agreement, including our Privacy Policy, and consent to the collection, use, and processing of your personal data in accordance with the Data Privacy Act of 2012 and related laws in the Philippines.

1.5 BuzzLocalPH reserves the right to modify, suspend, or discontinue any part of the Site or Services at any time, with or without notice, in accordance with applicable laws.

• 1.5.1 We may release beta features for testing purposes, which may not function as expected.
• 1.5.2 Access to certain areas or functions of the Site may be restricted or limited at our sole discretion.
• 1.5.3 Users who fail to comply with these Terms of Service may have their access revoked without prior notice.

1.6 BuzzLocalPH also reserves the right to decline registration or access to any User for any reason, including but not limited to violations of these Terms.

1.6.3 If you are a parent or legal guardian, you must agree to these Terms on behalf of your child and take full responsibility for any activity performed on the Site using that account.

1.6.1 BY ACCESSING OR USING BUZZLOCALPH, OR BY CREATING AN ACCOUNT, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE.

1.6.2 If you are under 18 years of age, or under the age of legal consent in your location, you may only use the Site with the permission and supervision of a parent or legal guardian.

2. PRIVACY #

2.1 Your privacy is very important to us at BuzzLocalPH. To better protect your rights, we have provided the BuzzLocalPH Privacy Policy to explain our privacy practices in detail. Please review the Privacy Policy to understand how BuzzLocalPH collects, uses, and protects the information associated with your Account and/or your use of the Services (referred to as the “User Information”). By using the Services or providing information on the Site, you:

• 2.1.1 consent to BuzzLocalPH’s collection, use, disclosure, and/or processing of your Content, personal data, and User Information as described in the Privacy Policy;
• 2.1.2 agree and acknowledge that the proprietary rights of your User Information are jointly held by you and BuzzLocalPH, solely for the purpose of delivering services as outlined in this agreement; and
• 2.1.3 shall not, whether directly or indirectly, disclose your User Information to any third party, or allow any third party to access or use your User Information, without BuzzLocalPH’s prior written consent, unless required by law.

2.2 Users who come into possession of another User’s personal data through the use of the Services (the “Receiving Party”) hereby agree that they will:

• 2.2.1 comply with all applicable data privacy laws and regulations in the Philippines, including the Data Privacy Act of 2012, with respect to any such data;
• 2.2.2 allow the User whose personal data was collected (the “Disclosing Party”) to request removal of their data from the Receiving Party’s records or systems, where such request is valid and supported by law; and
• 2.2.3 allow the Disclosing Party to review the information collected about them by the Receiving Party, in accordance with applicable privacy rights and legal procedures.

3. LIMITED LICENSE #

3.1 BuzzLocalPH grants you a limited, non-exclusive, and revocable license to access and use the Services subject to the terms and conditions of these Terms of Service. All proprietary content, trademarks, service marks, brand names, logos, and other forms of intellectual property (“Intellectual Property”) displayed on the Site are the property of BuzzLocalPH and, where applicable, third-party proprietors identified on the Site.

• 3.1.1 No right or license is granted, either directly or indirectly, to any party accessing the Site to use or reproduce any Intellectual Property. No party shall claim any right, title, or interest in such property by virtue of accessing or using the Site.
• 3.1.2 By accessing or using the Services, you agree to comply with all applicable laws regarding copyright, trademark, and service mark protection, and any other laws that apply to the Site and its Content.
• 3.1.3 You agree not to copy, distribute, republish, transmit, publicly display, perform, modify, adapt, rent, sell, or create derivative works of any part of the Site, Services, or Content without prior written permission from BuzzLocalPH.
• 3.1.4 You may not mirror or frame any part or the whole of the contents of this Site on another server or website without prior written consent.
• 3.1.5 You agree not to use any robot, spider, scraper, or any other automated or manual process to monitor or copy the Site’s Content without our prior written consent. This excludes standard search engine technology used to direct users to the Site.

3.2 You are welcome to link to the Site from your own website, provided that your website does not imply any form of endorsement by, or affiliation with, BuzzLocalPH without prior written consent. BuzzLocalPH reserves the right, at its sole discretion and at any time, to suspend, discontinue, or modify the Services in part or in full without notice.

4. SOFTWARE #

4.1 Any software provided by BuzzLocalPH to you as part of the Services is subject to the terms and conditions of these Terms of Service. BuzzLocalPH retains all rights to such software not expressly granted under this agreement.

4.2 Any third-party scripts, plugins, or code linked to or referenced through the Services are licensed to you by the respective third-party owners. BuzzLocalPH does not grant any rights or licenses to such third-party software, and all use is subject to the individual licensing terms provided by the third parties.

5. ACCOUNTS AND SECURITY #

5.1 Certain features of the Services require registration of a user account (the “Account”) by selecting a unique user identification (“User ID”) and password and providing specific personal information. If you choose a User ID that BuzzLocalPH, in its sole discretion, considers offensive or inappropriate, we reserve the right to suspend or terminate your Account.

You may be able to use your Account to access additional tools, services, or affiliated sites that BuzzLocalPH may integrate with. BuzzLocalPH has not reviewed and assumes no responsibility for the content, functionality, privacy practices, or services provided by any third-party websites, products, or platforms you may access through the Site. In such cases, the terms of service and privacy policies of those third-party services will apply independently of these Terms of Service.

5.2 You agree to the following security practices:

• 5.2.1 Keep your password confidential and use only your registered User ID and password when accessing your Account.
• 5.2.2 Log out of your Account at the end of each session.
• 5.2.3 Immediately notify BuzzLocalPH of any unauthorized use of your Account or any suspected breach of security.
• 5.2.4 Ensure that your Account information remains accurate and up to date.

You are fully responsible for all activities that occur under your Account, even if such activities were not authorized by you. BuzzLocalPH shall not be held liable for any loss or damage resulting from your failure to comply with this Section.

5.3 BuzzLocalPH may, at its sole discretion and without prior notice or liability, take the following actions with respect to your Account and User ID:

• 5.3.1 Suspend or terminate your Account;
• 5.3.2 Remove any Content associated with your Account;
• 5.3.3 Withhold, cancel, or suspend any transactions or payouts;
• 5.3.4 Temporarily or permanently restrict your access to the Services.

These actions may be taken for reasons including, but not limited to:

• 5.3.5 Extended periods of inactivity;
• 5.3.6 Violation of these Terms or any applicable law;
• 5.3.7 Fraudulent, illegal, harassing, or abusive behavior;
• 5.3.8 Operating multiple accounts without authorization;
• 5.3.9 Engaging in excessive or suspicious purchasing activity;
• 5.3.10 Misuse of promotional vouchers or credits;
• 5.3.11 Use of unauthorized third-party tools or software in connection with the Site;
• 5.3.12 Failure to submit accurate or lawful tax or verification documents; or
• 5.3.13 Behavior that harms other Users, third parties, or the business interests of BuzzLocalPH.

BuzzLocalPH reserves the right to report illegal or abusive activity to law enforcement authorities without notice to you.

5.4 Users may request to terminate their Account by notifying BuzzLocalPH in writing via email at [email protected]. Termination will take effect no earlier than twenty-four (24) hours after the request is received. Notwithstanding any termination, you remain responsible for completing any pending transactions and complying with your obligations under these Terms of Service. BuzzLocalPH will not be liable for any consequences of account termination under this section, and you waive any related claims.

5.5 You may only register and use an Account if you are located in a jurisdiction that BuzzLocalPH supports. The list of supported locations may change from time to time.

5.6 If you are a Vendor, BuzzLocalPH may allow you to create sub-accounts (“Sub-Accounts”) linked to your main Account for better store management. You acknowledge and agree to the following:

• 5.6.1 Sub-Accounts are created for administrative purposes and may not be used for fraudulent or illegal activities;
• 5.6.2 The terms and conditions in this Section apply equally to Sub-Accounts, unless stated otherwise;
• 5.6.3 Sub-Accounts may be granted access to certain functions of your main Account, and:
  • 5.6.3.1 You are solely responsible for creating and managing Sub-Accounts and for granting third-party access;
  • 5.6.3.2 Any action taken by a Sub-Account will be treated as an action performed by your Account;
  • 5.6.3.3 You are liable for all activities conducted through Sub-Accounts;
  • 5.6.3.4 BuzzLocalPH may modify or discontinue Sub-Account features at any time.

6. TERMS OF USE #

6.1 The license to use this Site and the Services remains in effect unless terminated. This license will be terminated if you fail to comply with any provision of these Terms of Service or as otherwise provided herein. BuzzLocalPH reserves the right to terminate your access to the Site or Services with or without notice.

6.2 You agree not to engage in any of the following prohibited conduct:

• 6.2.1 Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, hateful, or otherwise objectionable;
• 6.2.2 Violate any laws, including but not limited to those relating to intellectual property, commerce, or restrictions on prohibited items;
• 6.2.3 Harm or exploit minors, including uploading content featuring unsupervised minors;
• 6.2.4 Impersonate any person or misrepresent your affiliation, including using false verification documents;
• 6.2.5 Forge headers or otherwise disguise the origin of transmitted content;
• 6.2.6 Remove proprietary notices from the Site or Services;
• 6.2.7 Modify, create derivative works from, or translate the Services without written permission from BuzzLocalPH;
• 6.2.8 Use the Services in any unauthorized or unlawful manner, including for the benefit of a third party;
• 6.2.9 Upload or transmit fraudulent, misleading, or deceptive content;
• 6.2.10 Operate multiple user accounts for abusive or deceptive purposes;
• 6.2.11 Use unauthorized software, bots, or hardware (e.g., emulators or scrapers) to interact with the Site;
• 6.2.12 Manipulate the price of items or interfere with other users’ listings;
• 6.2.13 Undermine or manipulate the rating and feedback system;
• 6.2.14 Attempt to decompile, reverse engineer, or hack the Site or Services, or bypass security measures;
• 6.2.15 Harvest or collect personal data of other Users without lawful basis;
• 6.2.16 Upload content that you do not have the legal right to distribute (e.g., insider info, trade secrets);
• 6.2.17 Infringe on third-party rights, including copyright or trademark;
• 6.2.18 Send spam, unsolicited promotions, or chain letters via the platform;
• 6.2.19 Upload malware, viruses, worms, or any software intended to damage or interfere with systems or data;
• 6.2.20 Disrupt the flow of conversations or act in a way that impairs real-time exchanges between users;
• 6.2.21 Interfere with the servers or networks connected to the Site or Services;
• 6.2.22 Engage in actions that could damage, disable, or overload the Site or Services;
• 6.2.23 Use the Services in violation of any local, national, or international laws, including anti-money laundering or counter-terrorism laws;
• 6.2.24 Use the platform to circumvent or violate international sanctions or embargoes;
• 6.2.25 Harass, stalk, or violate the privacy of other users;
• 6.2.26 Infringe on BuzzLocalPH’s intellectual property or misrepresent association with our brand;
• 6.2.27 Collect or store personal data of other users for prohibited purposes; and/or
• 6.2.28 List items that infringe on third-party rights, including unauthorized or counterfeit goods.

6.3 You understand that all content, whether public or private, is the sole responsibility of the person who provided it. BuzzLocalPH does not control and is not responsible for user-generated content and shall not be liable for any damage or loss arising from your exposure to objectionable material on the Site. You agree that you use all content at your own risk and that BuzzLocalPH is not liable for any reliance placed on such content.

6.4 You acknowledge that BuzzLocalPH and its designated representatives have the right, but not the obligation, to pre-screen, remove, or block any content from the platform. This may include content that:

• 6.4.1 Violates these Terms of Service or our content policies;
• 6.4.2 Is subject to a complaint by another user;
• 6.4.3 Infringes on intellectual property or is subject to legal claims; or
• 6.4.4 Is otherwise harmful, misleading, or objectionable.

BuzzLocalPH may also block communications or content transmission in order to protect the platform, enforce policies, or preserve user safety. You acknowledge that you are responsible for evaluating all content and may not rely on BuzzLocalPH to screen, validate, or endorse such content.

6.5 You acknowledge and consent that BuzzLocalPH may access, preserve, and disclose your Account information and content to legal or regulatory authorities, rights holders, or other third parties if required to do so:

• 6.5.1 By law or court order;
• 6.5.2 To enforce these Terms or other platform policies;
• 6.5.3 To investigate intellectual property or user rights violations;
• 6.5.4 To respond to your customer service requests; or
• 6.5.5 To protect the rights, property, or safety of BuzzLocalPH, its users, or the public.

6.6 You further acknowledge that BuzzLocalPH may collect and process data related to product or vendor performance in order to improve platform services, filter search results, or enhance the user experience. This may include merging performance data across listings, vendors, or categories where relevant and lawful.

7. VIOLATION OF OUR TERMS OF SERVICE #

7.1 Violations of these Terms of Service may result in a range of actions, which may include, but are not limited to, the following:

• 7.1.1 Deletion of listings or content that violate platform policies;
• 7.1.2 Imposing limitations on your Account privileges or features;
• 7.1.3 Suspension or permanent termination of your Account;
• 7.1.4 Referral of your case to appropriate law enforcement authorities for criminal prosecution;
• 7.1.5 Initiation of civil proceedings, including claims for damages or requests for interim or injunctive relief;
• 7.1.6 Withdrawal of any platform-provided incentives, cancellation or suspension of transactions tied to your Account or User ID, temporary or permanent withholding of sales proceeds or refunds, and/or adjustments to your Seller Balance (if applicable), in accordance with Section 5.3;
• 7.1.7 Any other action that BuzzLocalPH is legally authorized to take under applicable Philippine laws and platform policies.

7.2 If you believe that a User on the BuzzLocalPH platform is violating these Terms of Service, you may report the matter by contacting our support team at [email protected].

8. REPORTING INTELLECTUAL PROPERTY RIGHTS INFRINGEMENT #

8.1 As stated in these Terms, BuzzLocalPH does not permit the listing or sale of any products that violate the intellectual property rights of brands, copyright holders, or other intellectual property rights owners (“IPR Owner”).

8.2 Unless explicitly stated, Vendors on BuzzLocalPH are independent individuals or businesses. They are not affiliated with BuzzLocalPH, and BuzzLocalPH is neither their agent nor representative. BuzzLocalPH does not own or take legal possession of the merchandise listed on the Site.

8.3 If you are an IPR Owner or a duly authorized representative of an IPR Owner (“IPR Agent”) and believe that your rights have been infringed, you may report the alleged infringement to BuzzLocalPH by contacting us at [email protected]. Please include the documentation listed below to support your claim. Allow time for review and processing; we will respond as soon as practicable.

8.4 All complaints under this section must be submitted in writing and must include the following:

• 8.4.1 A physical or electronic signature of the IPR Owner or IPR Agent (collectively, the “Informant”);
• 8.4.2 A description of the type and nature of the intellectual property right allegedly infringed, along with proof of ownership or rights;
• 8.4.3 A detailed description of the alleged infringement to allow BuzzLocalPH to assess the complaint;
• 8.4.4 The URL(s) or page link(s) of the listing(s) containing the alleged infringement;
• 8.4.5 Complete contact information of the Informant, including address, phone number, and email address;
• 8.4.6 A good faith statement from the Informant that the use of the intellectual property described is not authorized by the IPR Owner or by law;
• 8.4.7 A declaration that the information provided is accurate, and that the Informant agrees to indemnify BuzzLocalPH for any damages resulting from false or misleading claims, and affirms that they are authorized to act on behalf of the IPR Owner.

8.5 BuzzLocalPH acknowledges that certain brands or manufacturers may have exclusive distribution agreements or minimum advertised pricing agreements in place. However, violations of such agreements do not necessarily constitute intellectual property infringement. Enforcement of those agreements is the sole responsibility of the concerned parties, and BuzzLocalPH generally does not enforce distribution exclusivity or pricing controls unless required by law.

8.6 Without limitation to any other applicable indemnity, each Vendor agrees to indemnify and hold harmless BuzzLocalPH and its affiliates from any claims, damages, or legal actions arising from:

• 8.6.1 Any intellectual property infringement claims relating to their listings or content; and/or
• 8.6.2 Any removal of content or products as a result of such claims or complaints.

9. PURCHASE AND PAYMENT #

9.1 BuzzLocalPH supports one or more of the following payment methods for orders placed through the platform:

• 9.1.1 Credit or Debit Card
  Payments made by card are processed through trusted third-party payment gateways. The availability of this option and accepted card types may vary based on your location and the payment provider.
• 9.1.2 Cash on Delivery (COD)
  Buyers may opt to pay in cash directly to the delivery personnel upon receiving the ordered item, where COD is supported.
• 9.1.3 Online Wallets and E-Payment Platforms
  BuzzLocalPH may support payments through GCash, Maya, PayPal, Xendit, and other third-party channels as made available on the Site.

9.2 Buyers may only change their selected payment method prior to confirming and completing the checkout process. Once payment is completed or the order is marked for processing, changes to the payment method will no longer be allowed.

9.3 BuzzLocalPH assumes no responsibility and shall not be held liable for any loss, delay, or damage resulting from:

• 9.3.1 Incorrect shipping or payment information provided by the Buyer;
• 9.3.2 Mistaken or unauthorized payments/remittances made by the Buyer; or
• 9.3.3 Failed transactions due to system issues outside BuzzLocalPH’s control.

BuzzLocalPH reserves the right to verify whether a Buyer is duly authorized to use a selected payment method. In such cases, the transaction may be paused until confirmation is received or canceled if such authorization cannot be verified.

10. SELLER BALANCE #

10.1 The Seller Balance refers to the amount held in a Vendor’s account on BuzzLocalPH, representing the net proceeds received from completed sales, minus any applicable deductions or withdrawals.

10.2 Vendors may transfer funds from their Seller Balance to their registered bank account (“Linked Account”) by submitting a withdrawal request (“Withdrawal Request”) of up to PHP 500,000.00 per day. BuzzLocalPH may also process automated transfers to a Vendor’s Linked Account on a regular schedule, as determined by BuzzLocalPH. Withdrawals are processed only on business days and may take one (1) to three (3) business days to appear in the Vendor’s Linked Account.

Vendors must ensure that the Linked Account is under their legal name or the registered tradename declared with the Bureau of Internal Revenue (BIR), in accordance with applicable laws and tax regulations.

10.3 Vendors are entitled to a certain number of free Withdrawal Requests. However, BuzzLocalPH may, at its discretion, determine if a Vendor is making excessive requests and impose a fee accordingly. The classification of “excessive” and the corresponding fee amount will be determined solely by BuzzLocalPH.

10.4 Funds from a Vendor’s sale shall be credited to the Seller Balance:

• 10.4.1 Within three (3) days after the order is confirmed as delivered to the Buyer; or
• 10.4.2 After the expiration of the refund and return period, in accordance with BuzzLocalPH’s Refunds and Returns Policy, when the order is marked as completed.

These timelines may be delayed for reasons such as ongoing return/refund processes, security checks, or final fee computations.

10.5 Once a Withdrawal Request has been submitted, the Vendor may not cancel or modify it.

10.6 In the event of a transaction processing error, you authorize BuzzLocalPH to initiate debit or credit entries to your Linked Account to correct the error, in accordance with applicable laws. If we are unable to complete the debit, you authorize us to attempt the debit again through any other bank account or payment method on file or to deduct the amount from your Seller Balance.

10.7 You authorize BuzzLocalPH to debit or credit your Seller Balance under the following circumstances:

• 10.7.1 To correct transaction processing errors;
• 10.7.2 If fraudulent or suspicious activity is detected;
• 10.7.3 In cases of lost, damaged, or incorrect items;
• 10.7.4 For the issuance of rewards, rebates, or adjustments;
• 10.7.5 To apply uncharged or overdue platform fees;
• 10.7.6 For settling any disputes involving compensation, claims, or chargebacks;
• 10.7.7 In the event of any liability linked to violations of these Terms or activities harmful to other users or BuzzLocalPH’s interests;
• 10.7.8 Related to prohibited or detained items (e.g., customs issues);
• 10.7.9 Following a Buyer-Seller agreed cancellation due to change of mind;
• 10.7.10 For settlement of any outstanding obligations owed to BuzzLocalPH or its partners, subject to local laws;
• 10.7.11 For the automatic purchase of Advertising Credits, if applicable features are activated and credit levels fall below a defined threshold.

10.8 If your Account is suspended, deactivated, or terminated due to a violation of these Terms or due to prolonged inactivity, BuzzLocalPH reserves the right to impose an administrative fee on the remaining Seller Balance. The amount and frequency of this fee shall be defined by BuzzLocalPH and may be adjusted from time to time.

11. BUZZLOCALPH PURCHASE PROTECTION GUARANTEE #

11.1 The BuzzLocalPH Purchase Protection Guarantee is a service provided by BuzzLocalPH or its authorized payment processor to help ensure secure transactions for both Buyers and Vendors. To minimize the risk of fraud or liability, payment made by Buyers for purchases will be temporarily held by BuzzLocalPH or its authorized partner (“BuzzLocalPH Guarantee Account”) until order completion. Vendors will not receive interest or earnings from amounts held in this account.

The BuzzLocalPH Guarantee only applies to purchases made using the official payment methods available on the platform. Payments made outside the BuzzLocalPH platform are not covered under this protection.

11.2 After a Buyer completes payment (“Buyer’s Purchase Monies”), the funds will be held in the BuzzLocalPH Guarantee Account and released to the Vendor’s Seller Balance when:

• 11.2.1 The Buyer confirms receipt of the purchased item. In such case, unless clause 11.2.4 applies, BuzzLocalPH will release the Buyer’s Purchase Monies (minus applicable fees such as platform commissions, transaction fees, and taxes) to the Vendor;
• 11.2.2 The BuzzLocalPH Guarantee Period expires without a return or refund request, in which case the Buyer’s Purchase Monies will be released to the Vendor, subject to applicable deductions;
• 11.2.3 BuzzLocalPH determines that a Buyer’s return or refund request is valid, in which case a refund will be processed to the Buyer according to the Refunds and Returns Policy;
• 11.2.4 BuzzLocalPH, at its reasonable discretion, determines that it is appropriate to release or withhold the Buyer’s Purchase Monies due to legal, regulatory, or policy considerations.

11.3 Buyer payments will be held in the BuzzLocalPH Guarantee Account during the Guarantee Period and transferred to the Vendor’s Seller Balance based on the conditions outlined in Section 10.4. Duration of the Guarantee Period may vary based on item type and logistics timelines.

11.4 If a Vendor cannot be reached and funds remain unclaimed for more than six (6) months after becoming eligible for release, BuzzLocalPH will handle such funds in accordance with applicable laws and regulations.

11.5 Buyers and Vendors must be the rightful owners of their respective Accounts and transact only on their own behalf. Vendors must ensure that their Accounts are registered under their legal or tradename as declared with the Bureau of Internal Revenue (BIR), where applicable.

BuzzLocalPH may require Buyers or Vendors to submit documentation (“Verification Documents”), such as recent ID photos, bank account proof, or BIR registration, for verification and regulatory compliance. You consent to BuzzLocalPH using or sharing your Verification Documents with trusted partners, payment processors, or legal authorities as needed for identity validation or legal compliance.

Failure to comply with this section may result in enforcement actions as described in Sections 1.5, 5.3, 6.2, 7.1, and 10.7 of these Terms of Service.

11.6 The BuzzLocalPH Guarantee is a service enhancement and does not replace or waive any legal rights or obligations that Buyers and Vendors may have under Philippine law. This Guarantee is not a substitute for product warranties or legal remedies, and BuzzLocalPH disclaims any liability beyond what is expressly stated herein.

11.7 Buyers and Vendors agree that all decisions made by BuzzLocalPH in relation to disputes, refunds, or other issues under this Guarantee are final and binding, including decisions made following appeal.

11.8 For clarity, transactions conducted outside of the BuzzLocalPH platform (e.g., direct payments, offline agreements) are not covered by the BuzzLocalPH Purchase Protection Guarantee.

12. DELIVERY #

12.1 BuzzLocalPH will notify the Vendor once payment from the Buyer (“Buyer’s Purchase Monies”) has been successfully received. Unless otherwise agreed with BuzzLocalPH, the Vendor is responsible for arranging the delivery of the purchased item to the Buyer. The Vendor must provide delivery details — including the name of the logistics service provider and the tracking number — to the Buyer through the platform.

12.2 Vendors must use their best efforts to ensure that the Buyer receives the purchased items within the delivery timeframe stated in the listing or within the period covered by the BuzzLocalPH Purchase Protection Guarantee, whichever is applicable.

For deliveries within the Philippines, Vendors and Buyers may select a logistics provider (“Logistics Service Provider”) to handle the shipment. BuzzLocalPH acts solely as a platform to connect Vendors, Buyers, and Logistics Service Providers. The responsibility for appointing a delivery service and covering shipping fees lies with the Buyer and Vendor.

As outlined in Section 12.1, the delivery is facilitated by the Logistics Service Provider and not by BuzzLocalPH. However, BuzzLocalPH will assist in forwarding Buyer complaints related to delivery issues. If the Buyer does not receive the item within the expected delivery timeframe, the Buyer must contact BuzzLocalPH through the platform. BuzzLocalPH will forward the concern to the Vendor and/or the Logistics Service Provider to help resolve the issue.

12.3 BuzzLocalPH may offer a guaranteed delivery date for eligible items (“Eligible Products”). If an Eligible Product is not delivered on or before the guaranteed delivery date shown in the order summary (“Guaranteed Arrival Date”), BuzzLocalPH may issue a non-transferable voucher (“On-Time Guarantee Voucher”) to the Buyer. This voucher must be claimed within three (3) days after the Buyer clicks “Order Received,” or if no action is taken, within three (3) days after the order status changes to “Completed.” Unclaimed vouchers will be forfeited. These vouchers do not constitute an admission of fault or liability by BuzzLocalPH.

12.4 Vendors bear all risks associated with delivery and are encouraged to secure adequate insurance for their shipments. In cases where items are lost or damaged during transit, or where delivery fails, the Buyer and Vendor are responsible for contacting the Logistics Service Provider directly. BuzzLocalPH shall not be liable for damages, expenses, or losses incurred from such delivery issues.

12.5 For cross-border transactions, when a product listing indicates that an item ships from overseas, Buyers understand that the product is being sold by a Vendor located outside the Philippines. Such transactions are subject to all applicable local and international laws and customs regulations. BuzzLocalPH does not provide legal advice and assumes no responsibility for any issues arising from international shipping, including customs duties or regulatory compliance.

To avoid misunderstandings, all Buyers and Vendors agree that BuzzLocalPH’s responsibility is limited to facilitating communication between parties in the event of delivery-related disputes. If no complaint is submitted within the period specified in BuzzLocalPH’s policies, the order will be considered successfully delivered. BuzzLocalPH shall not be liable for any delivery-related damages or losses. All concerns must be addressed between the Buyer, Vendor, and Logistics Service Provider.

13. ADVANCED FULFILMENT PROGRAM #

13.1 BuzzLocalPH may invite selected Vendors to participate in an advanced fulfilment initiative, whereby Vendors provide pre-shipped inventory (“Sellable Advanced Stock”) to designated locations such as third-party fulfilment centers affiliated with BuzzLocalPH. This program is designed to streamline the order fulfilment process and expedite delivery to Buyers. BuzzLocalPH reserves the right to relocate Sellable Advanced Stock between storage facilities without prior notice or consent from the Vendor.

13.2 Ownership of Sellable Advanced Stock remains with the Vendor at all times. Title to the goods only transfers to the Buyer upon successful delivery. If no sale occurs within a specified availability period (as determined by BuzzLocalPH), the Sellable Advanced Stock will be returned to the Vendor.

13.3 Before any inventory is sent to the fulfilment facility, the Vendor and BuzzLocalPH must agree on the quantity and type of products to be included in the shipment, documented via Advanced Fulfilment Orders (“Advanced Fulfilment Orders”) through the Vendor Dashboard.

13.4 BuzzLocalPH reserves the right to inspect Sellable Advanced Stock upon delivery to confirm that it matches the agreed Advanced Fulfilment Order. If any items are mislabeled, unlabeled, damaged, defective, non-compliant with platform policies, or otherwise unsuitable (“Unsuitable Advanced Stock”), BuzzLocalPH may, at its discretion:

• 13.4.1 Reject the delivery of all or part of the Unsuitable Advanced Stock; or
• 13.4.2 Return the Unsuitable Advanced Stock to the Vendor at the Vendor’s expense.

13.5 Additional service fees may apply for Vendors participating in the Advanced Fulfilment Program. The specific fees and applicable rates shall be determined and updated by BuzzLocalPH from time to time, and Vendors will be notified accordingly through the platform or Vendor communications.

14. PLATFORM SHIPPING BENEFITS #

14.1 BuzzLocalPH may, at its sole discretion, offer shipping-related incentives and services to participating Vendors (“Platform Shipping Benefits”). These may include, but are not limited to:

• 14.1.1 Shipping discounts funded by BuzzLocalPH and applied to orders placed by Buyers (“Platform Shipping Discounts”);
• 14.1.2 Promotional and marketing materials highlighting Platform Shipping Discounts or related campaigns; and
• 14.1.3 Any additional shipping-related benefits introduced by BuzzLocalPH from time to time.

14.2 For clarity and avoidance of doubt:

• 14.2.1 The structure, scope, and eligibility criteria for all Platform Shipping Benefits will be determined solely by BuzzLocalPH and may change from time to time without prior notice;
• 14.2.2 Platform Shipping Discounts and benefits cannot be applied to certain restricted product categories including, but not limited to, virtual goods, tickets, vouchers, mobile load or SIM cards, fuel cards, gift cards, or e-vouchers;
• 14.2.3 Shipping discounts or benefits are only valid for orders fulfilled via BuzzLocalPH-supported logistics providers and are subject to availability.

14.3 BuzzLocalPH may impose service charges (“Platform Shipping Fees”) related to the administration or funding of these shipping benefits. These fees are separate from other applicable Seller fees and will include any required value-added tax (VAT). Rates may be updated from time to time at BuzzLocalPH’s discretion.

14.4 BuzzLocalPH reserves the right to suspend or revoke access to Platform Shipping Benefits at any time, without liability, particularly in cases of Vendor policy violations or accumulated penalty points based on BuzzLocalPH’s compliance monitoring system. All decisions made in this regard shall be final.

15. CANCELLATION, RETURN AND REFUND #

15.1 Buyers may cancel their order only before payment has been successfully received and processed through the BuzzLocalPH Purchase Protection Guarantee system. Once payment has been confirmed, cancellation is no longer allowed via the platform and must follow the refund process.

15.2 Buyers may request a return and refund in accordance with the BuzzLocalPH Refunds and Return Policy. All return or refund requests must comply with the conditions and timeframes outlined in the policy.

15.3 BuzzLocalPH reserves the right to cancel any transaction on the platform. In such cases, the Buyer agrees that their sole remedy shall be a refund of the full amount paid through the BuzzLocalPH Purchase Protection Guarantee system.

15.4 Approved refunds will be processed by BuzzLocalPH based on the actual amount paid by the Buyer for the product. Refunds will be returned via the original payment method, subject to processing timelines of third-party payment partners.

15.5 BuzzLocalPH does not monitor, process, or assume responsibility for cancellations, returns, or refunds related to orders paid outside the platform (e.g., direct bank transfers, cash transactions). Any disputes arising from such offline transactions must be resolved directly between the Buyer and Vendor.

16. SELLER’S RESPONSIBILITIES #

16.1 Vendors are responsible for managing and maintaining accurate listings on the BuzzLocalPH platform. This includes updating product prices, descriptions, inventory quantities, and applicable terms and conditions. Vendors must not provide misleading, false, or inaccurate information in their listings.

16.2 Product prices are set by the Vendor at their sole discretion. All listed prices must include the total cost payable by the Buyer — including applicable taxes, value-added tax (VAT), tariffs, or any other charges. Vendors are prohibited from charging Buyers additional fees outside the platform for any reason.

16.3 BuzzLocalPH may, at its discretion, run promotional campaigns or apply discounts to facilitate sales between Buyers and Vendors. In such cases, the final price shown to the Buyer will reflect these adjustments, and Vendors agree to honor the transaction at the adjusted price.

16.4 For marketing purposes, BuzzLocalPH may promote Vendor listings (including those with adjusted prices from Section 16.3) through third-party websites such as search engines, deal aggregators, or other local or international platforms affiliated with BuzzLocalPH.

16.5 Vendors are responsible for issuing proper receipts or invoices to Buyers, especially where required by law or tax authorities.

16.6 Vendors are solely responsible for complying with all tax obligations related to their sales, including the reporting and remittance of any applicable taxes, duties, or customs fees. BuzzLocalPH does not offer legal or tax advice and recommends consulting a professional if there are uncertainties regarding tax compliance.

16.7 Vendors acknowledge and agree that failure to comply with BuzzLocalPH’s policies or applicable laws may result in penalties or enforcement actions, as described in Section 7.1 of these Terms of Service.

17. PAID ADVERTISING #

17.1 BuzzLocalPH offers advertising services to Vendors on an ongoing basis, including but not limited to keyword-based ads (“Search Ads”), store visibility ads (“Shop Ads”), product discovery ads (“Discovery Ads”), boost ads (“Boost Ads”), and display-based advertisements (“Display Ads”) (collectively referred to as “Paid Advertising Services”). Vendors may purchase Paid Advertising Services via the Vendor Dashboard or other authorized channels. By purchasing Paid Advertising Services, you agree to be bound by these Terms of Service and any associated Paid Advertising Guidelines communicated through the platform (“Paid Advertising Rules”). If you do not agree to these terms, do not purchase Paid Advertising Services.

17.2 To be eligible for Paid Advertising Services, your Vendor account must be in good standing and not under suspension. BuzzLocalPH reserves the right to determine vendor eligibility based on its internal criteria and policies.

17.3 Display Ads can be scheduled via the Vendor Dashboard by setting your preferred dates and daily budget. BuzzLocalPH will use commercially reasonable efforts to deliver your requested impressions, but does not guarantee the fulfillment of:

• 17.3.1 The exact dates selected by the Vendor; or
• 17.3.2 A specific number of impressions associated with your ad budget.

All Display Ads must adhere to BuzzLocalPH’s design guidelines, including but not limited to formatting, image specifications, and font usage. BuzzLocalPH may reject or remove any Display Ad at its sole discretion, with or without prior notice — including in response to legal or regulatory directives. Ad-related fees are non-refundable once the service is delivered. Sellers are responsible for ensuring accurate billing information during setup, and BuzzLocalPH reserves the right to reject invoice revision requests stemming from vendor input errors.

17.4 Vendors may purchase Search Ads, Boost Ads, Discovery Ads, and Display Ads using BuzzLocalPH advertising credits (“Advertising Credits”). These credits are deducted on a pay-per-click basis or based on impressions, as applicable. Promotional Advertising Credits provided by BuzzLocalPH may have an expiration period of six (6) months or as otherwise communicated. Except where stated otherwise in the Paid Advertising Rules, all Advertising Credit purchases are final and non-refundable.

17.5 Vendors can configure budgets, keywords, and ad periods for individual product listings. You may also activate an optional Advertising Credits Top-Up Feature, which allows automatic deductions from your Seller Balance (per Section 10) when your Advertising Credit balance falls below a minimum threshold set by you. Note that once a Paid Advertising Period has started, Advertising Credits associated with that campaign cannot be transferred or refunded, even if the product is sold or removed before the period ends.

17.6 All product listings promoted through Paid Advertising Services must comply with applicable laws, the BuzzLocalPH Terms of Service, Paid Advertising Rules, and the platform’s Prohibited and Restricted Items Policy. BuzzLocalPH reserves the right to immediately remove non-compliant listings. Advertising Credits or fees used for such listings will not be refunded, and BuzzLocalPH shall not be liable for any associated losses.

17.7 BuzzLocalPH does not guarantee increased traffic, impressions, or sales performance as a result of Paid Advertising Services.

17.8 Vendors should only purchase Paid Advertising Services after careful consideration of budget and marketing goals. BuzzLocalPH will not be liable for actual or expected losses, including operating costs or lost profits, resulting from the performance of Paid Advertising campaigns, except where expressly stated in the Paid Advertising Rules.

17.9 IF, NOTWITHSTANDING THE FOREGOING, BUZZLOCALPH IS FOUND BY A COURT OF COMPETENT JURISDICTION TO BE LIABLE (INCLUDING FOR GROSS NEGLIGENCE) IN RELATION TO ANY PAID ADVERTISING SERVICE, THEN TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUZZLOCALPH’S LIABILITY SHALL BE LIMITED SOLELY TO THE AMOUNT PAID BY THE VENDOR FOR THE SPECIFIC PAID ADVERTISING SERVICE IN QUESTION.

18. PURCHASE AND SALE OF ALCOHOL AND TOBACCO OR TOBACCO-RELATED PRODUCTS #

18.1 The purchase and sale of alcoholic beverages (“Alcohol”) and tobacco or tobacco-related products, including electronic cigarettes (“Tobacco Products”), is permitted on the BuzzLocalPH platform subject to the terms outlined in this section. By purchasing or selling Alcohol or Tobacco Products on the Site, Buyers and approved Vendors acknowledge and agree to be bound by the terms and conditions set forth below.

18.2 If you are a Buyer of Alcohol or Tobacco Products:

• 18.2.1 You represent and warrant that you and any intended recipient of the Alcohol or Tobacco Products are at least eighteen (18) years old;
• 18.2.2 You agree to provide valid government-issued photo identification upon request by the Vendor, BuzzLocalPH, or authorized delivery personnel for age verification purposes.

18.3 If you are an approved Vendor of Alcohol or Tobacco Products:

• 18.3.1 You represent and warrant that you possess all legally required permits or licenses to sell Alcohol or Tobacco Products via the BuzzLocalPH platform and agree to promptly submit proof of such documents upon request for verification;
• 18.3.2 You affirm that all information and documentation provided to BuzzLocalPH is complete, accurate, and up to date.

18.4 For deliveries of Alcohol:

• 18.4.1 Delivery personnel may require valid photo identification from the Buyer or recipient at the time of delivery for age verification;
• 18.4.2 Delivery may be refused if the Buyer or recipient is unable to produce valid identification or appears to be intoxicated.

18.5 For deliveries of Tobacco Products:

• 18.5.1 Delivery personnel may request valid photo identification to confirm the recipient is of legal age;
• 18.5.2 Delivery may be refused if age verification is not successful or the recipient is underage.

18.6 All Buyers and Vendors of Alcohol and Tobacco Products agree to indemnify, defend, and hold harmless BuzzLocalPH, including its owners, affiliates, employees, agents, and service providers (“Indemnified Parties”) from any legal claims, losses, penalties, or liabilities arising from:

• 18.6.1 Any false or misleading representation made under Sections 18.2 and 18.3; or
• 18.6.2 Any violation of applicable laws, age restrictions, or third-party rights.

19. SELLER FEES #

19.1 BuzzLocalPH charges a transaction fee for all successful orders completed through the platform (“Transaction Fee”). This fee is the responsibility of the Vendor and is calculated as a fixed percentage of the Buyer’s Purchase Monies before the application of any site-wide promotions or discounts. The current Transaction Fee rate is 2.24%, inclusive of value-added tax (VAT), and is rounded to the nearest peso.

19.2 In addition to the Transaction Fee, BuzzLocalPH may charge a separate commission fee (“Commission Fee”) for each completed transaction. This fee may begin after ninety (90) days from the Vendor’s first product listing or based on a different activation period as determined by BuzzLocalPH. The Commission Fee is based on a percentage of the Gross Settlement Price, which is the final selling price of the product after deducting any Vendor-sponsored discounts or vouchers, but excluding site-wide rebates, discounts, or third-party funded promotions. This fee is inclusive of VAT and may vary based on the product category.

BuzzLocalPH will provide Vendors with applicable Commission Fee rates per category, as updated from time to time. The Commission Fee does not apply to special Vendor programs with separately agreed-upon terms.

19.3 For international Vendors or those operating outside the Philippines, BuzzLocalPH may apply a Cross-Border Fee to cover additional processing, compliance, and service requirements. The applicable fee structure will be communicated directly to eligible Vendors.

19.4 If you participate in any BuzzLocalPH promotional or seller programs (e.g., Shipping Support, Sponsored Promotions), your continued participation constitutes your agreement to the separate terms governing those programs. BuzzLocalPH reserves the right to charge additional fees associated with those programs as outlined in their respective service terms. If you wish to opt out of a program, you must notify BuzzLocalPH in writing.

19.5 Upon the successful completion of a transaction, BuzzLocalPH will deduct the following from the Buyer’s Purchase Monies prior to remittance to the Vendor:

• 19.5.1 The Transaction Fee (Section 19.1);
• 19.5.2 The applicable Commission Fee or Cross-Border Fee (Section 19.2 or 19.3);
• 19.5.3 Any Platform Shipping Fees, if applicable;
• 19.5.4 Fees associated with any seller programs joined by the Vendor; and
• 19.5.5 The Vendor’s portion of the Shipping Fee and any required withholding tax (in accordance with BIR regulations).

BuzzLocalPH will issue an official invoice for the deducted fees and, where required by law, provide the Vendor with a Certificate of Creditable Tax Withheld at Source (BIR Form No. 2307). Vendors are responsible for ensuring their tax and financial records are in compliance with local regulations.

20. HANDLING FEE #

20.1 BuzzLocalPH may charge a handling fee for successful payments made to selected third-party service providers or billers through the platform (“Handling Fee”). This fee is borne by the User initiating the payment and is calculated based on a rate determined by BuzzLocalPH. The rate may vary depending on the biller or service and will be communicated to Users via the platform or official communication channels.

The Handling Fee is inclusive of value-added tax (VAT) and reflects the costs incurred by BuzzLocalPH in facilitating payment processing, including the forwarding of transaction details to the appropriate biller or service provider. The Handling Fee is charged net of any applicable discounts or rebates and does not include site-wide promotions or BuzzLocalPH-specific incentives.

BuzzLocalPH shall issue an official receipt, invoice, or equivalent document as required by applicable laws for each Handling Fee collected.

21. DISPUTES #

21.1 In the event of a transaction-related issue or misunderstanding, Buyers and Vendors agree to first communicate directly with each other in good faith to resolve the dispute through mutual discussion. BuzzLocalPH may, at its discretion, assist by facilitating communication between the parties in an effort to reach an amicable resolution.

If the issue cannot be resolved through mutual agreement, Users may pursue legal remedies through the appropriate courts, small claims tribunals, or relevant authorities in their local jurisdiction, as applicable.

21.2 Buyers and Vendors agree not to bring legal action or assert any claims against BuzzLocalPH or its affiliates (unless BuzzLocalPH is the direct Seller of the product in question) for any dispute arising from transactions conducted on the platform.

21.3 For transactions covered under the BuzzLocalPH Purchase Protection Guarantee, Users may submit a formal request for BuzzLocalPH to assist in dispute resolution. BuzzLocalPH may, at its sole discretion and without any legal obligation or liability, take steps to mediate and support resolution efforts. For details on eligible requests and dispute coverage, please refer to the BuzzLocalPH Refunds and Return Policy.

22. FEEDBACK #

22.1 BuzzLocalPH values feedback from its Users as a way to improve the quality of our services and overall platform experience. To ensure that feedback is processed fairly and constructively, Users are encouraged to follow the procedure outlined below:

• 22.1.1 Feedback must be submitted in writing through email to [email protected] or via the feedback form available on the BuzzLocalPH website.
• 22.1.2 Anonymous submissions will not be accepted. Users must include their name and relevant contact information when submitting feedback.
• 22.1.3 If the feedback pertains to another User or Vendor, that party shall be informed of the concerns raised and shall be given an opportunity to respond and present their side of the matter.
• 22.1.4 Feedback that is vague, defamatory, or lacks supporting details may not be entertained or acted upon.

23. DISCLAIMERS #

23.1 THE SERVICES OFFERED BY BUZZLOCALPH ARE PROVIDED “AS IS” AND WITHOUT ANY WARRANTIES, GUARANTEES, CLAIMS, OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THIS INCLUDES, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, PERFORMANCE, OR ACCURACY. NO WARRANTIES SHALL BE IMPLIED FROM USAGE OF TRADE OR COURSE OF DEALING.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, BUZZLOCALPH DOES NOT GUARANTEE THAT THE SERVICES, PLATFORM, OR ANY FEATURES WILL BE AVAILABLE, ACCESSIBLE, SECURE, UNINTERRUPTED, ERROR-FREE, OR FREE OF MALWARE OR HARMFUL COMPONENTS. BUZZLOCALPH MAKES NO COMMITMENT TO CORRECT ANY DEFECTS OR ERRORS THAT MAY BE PRESENT ON THE PLATFORM OR SERVER.

23.2 YOU ACKNOWLEDGE AND AGREE THAT YOU BEAR FULL RESPONSIBILITY AND RISK ASSOCIATED WITH THE USE OR PERFORMANCE OF THE PLATFORM AND ITS SERVICES. TO THE EXTENT ALLOWED BY LAW, BUZZLOCALPH DISCLAIMS ALL LIABILITY ARISING FROM YOUR USE OF THE PLATFORM.

23.3 BUZZLOCALPH HAS NO CONTROL OVER — AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOES NOT GUARANTEE — THE QUALITY, SAFETY, LEGALITY, OR FITNESS FOR PURPOSE OF ANY PRODUCTS OR SERVICES SOLD BY VENDORS. BUZZLOCALPH ALSO DOES NOT GUARANTEE THAT VENDORS WILL DELIVER AS PROMISED OR THAT BUYERS WILL MAKE FULL PAYMENT FOR PURCHASES.

IN THE EVENT OF A DISPUTE BETWEEN USERS (INCLUDING BUYERS AND VENDORS), BOTH PARTIES AGREE TO RESOLVE THE DISPUTE DIRECTLY AND RELEASE BUZZLOCALPH, ITS OWNERS, EMPLOYEES, AFFILIATES, AND PARTNERS FROM ANY AND ALL CLAIMS, DAMAGES, OR DEMANDS ARISING OUT OF OR RELATED TO SUCH DISPUTES, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

24. EXCLUSIONS AND LIMITATIONS OF LIABILITY #

24.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUZZLOCALPH SHALL NOT BE LIABLE — WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, OR UNDER ANY OTHER LEGAL THEORY — FOR ANY OF THE FOLLOWING DAMAGES, WHETHER DIRECT OR INDIRECT:

• 24.1.1 LOSS OF USE;
• 24.1.2 LOSS OF PROFITS OR REVENUE;
• 24.1.3 LOSS OF DATA OR INFORMATION;
• 24.1.4 LOSS OF GOODWILL OR BUSINESS REPUTATION;
• 24.1.5 FAILURE TO REALIZE ANTICIPATED SAVINGS;
• 24.1.6 ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SITE OR SERVICES — EVEN IF BUZZLOCALPH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

24.2 YOU AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH THE SITE OR SERVICES IS TO TERMINATE YOUR ACCOUNT AND DISCONTINUE YOUR USE OF THE PLATFORM.

24.3 IF, NOTWITHSTANDING THE ABOVE, BUZZLOCALPH IS FOUND BY A COURT OF COMPETENT JURISDICTION TO BE LIABLE (INCLUDING FOR GROSS NEGLIGENCE), THEN TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUZZLOCALPH’S LIABILITY TO YOU OR ANY THIRD PARTY SHALL BE LIMITED TO THE LESSER OF:

• 24.3.1 ANY AMOUNTS PAYABLE TO YOU UNDER THE BUZZLOCALPH PURCHASE PROTECTION GUARANTEE; OR
• 24.3.2 FOUR THOUSAND PHILIPPINE PESOS (₱4,000.00).

24.4 NOTHING IN THESE TERMS OF SERVICE SHALL LIMIT OR EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY BUZZLOCALPH’S NEGLIGENCE, FOR FRAUD, OR FOR ANY OTHER LIABILITY THAT CANNOT BE LAWFULLY LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

25. LINKS TO THIRD-PARTY SITES AND SHARING VIDEOS FROM YOUTUBE #

25.1 The BuzzLocalPH platform may contain links to third-party websites. These links are provided solely for the convenience of Users. The content, accuracy, policies, or security of such linked websites are not under the control of BuzzLocalPH, and you access them entirely at your own risk. BuzzLocalPH is not responsible for the content or availability of any linked site, nor for any link contained within a linked site, including any updates or changes made to such sites.

The inclusion of any external link on the BuzzLocalPH platform does not imply any affiliation, endorsement, or sponsorship by BuzzLocalPH of the linked site or its content.

25.2 BuzzLocalPH may allow Users to embed or share videos from YouTube as part of vendor profiles, livestreams, or product promotions (“YouTube Content”). By sharing YouTube Content through the platform, you agree to comply with the YouTube Terms of Service and all related policies. BuzzLocalPH is not responsible for content shared from YouTube and does not control its availability or accuracy.

26. YOUR CONTRIBUTIONS TO THE SERVICES #

26.1 By submitting any content to BuzzLocalPH for inclusion on the platform — including but not limited to product descriptions, media, store updates, or promotional material (“Content”) — you represent and warrant that you have the full legal right and authority to grant the license described below. You are solely responsible for all content you upload, post, or make available on or through the Services, including ensuring its accuracy, legality, and compliance with applicable laws and intellectual property rights.

You hereby grant BuzzLocalPH and its successors a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, modify, adapt, create derivative works from, publicly display, and perform your Content in connection with the Services. This includes, without limitation, use for promotional, advertising, or redistributive purposes in any media format and via any communication channels. You also agree to waive all moral rights (and similar rights) associated with your Content to the fullest extent permitted by law.

26.2 Any material, suggestion, idea, or other submission you make through the platform or via direct communication to BuzzLocalPH (each, a “Submission”) is not considered confidential. BuzzLocalPH may use or share such Submissions without compensation to you, for purposes including but not limited to product development, service improvement, and marketing initiatives.

By submitting such ideas or concepts, you acknowledge that BuzzLocalPH and/or third parties may independently develop similar or identical features, tools, or systems. Accordingly, you grant BuzzLocalPH a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use your Submission as described above.

This provision does not apply to personal data that is protected under the BuzzLocalPH Privacy Policy, except where you have chosen to make such personal data publicly available through your Content or Submission.

27. THIRD PARTY CONTRIBUTIONS TO THE SERVICES AND EXTERNAL LINKS #

27.1 Each contributor to the BuzzLocalPH platform — including those who submit data, text, images, videos, audio, software, or other content — is solely responsible for ensuring the accuracy, legality, and intellectual property rights of their contributions. BuzzLocalPH does not regularly review, monitor, or verify user-submitted content and disclaims any responsibility for the accuracy, reliability, legality, or compliance of such contributions.

By using the Services, you agree not to hold BuzzLocalPH liable for any actions, omissions, or violations by other Users, including content they post or distribute through the platform.

27.2 The platform may contain links to third-party websites, services, applications, or offers. These third-party sites and services are not owned, operated, or controlled by BuzzLocalPH. They are the sole responsibility of the third-party providers and may be protected under relevant intellectual property or privacy laws.

BuzzLocalPH has not reviewed and is not responsible for the content, privacy practices, security, or services offered by any third-party website or tool accessible via the platform. You are encouraged to review the terms and privacy policies of such third parties before engaging with their services.

By continuing to use the BuzzLocalPH platform, you acknowledge and agree that BuzzLocalPH shall not be held liable for any damages, issues, or inability to use third-party websites or tools. BuzzLocalPH may, at its discretion, disable or remove any third-party links or integrations that violate these Terms of Service or pose a risk to platform integrity.

28. YOUR REPRESENTATIONS AND WARRANTIES #

28.1 By using the BuzzLocalPH platform and its Services, you represent and warrant the following:

• 28.1.1 You have the legal capacity to enter into and comply with these Terms of Service. If you are a minor, you have obtained valid consent from a parent or legal guardian to use the platform and be bound by these terms;
• 28.1.2 You will use the Services only for lawful purposes and in full compliance with these Terms of Service, as well as all applicable local, national, and international laws, regulations, rules, directives, and policies;
• 28.1.3 If you are acting on behalf of a juridical entity (such as a sole proprietorship, partnership, corporation, cooperative, or one-person corporation), you have the authority to bind that entity to these Terms of Service;
• 28.1.4 You are not located in, nor are you a resident of, any country or territory subject to international sanctions or trade restrictions, including but not limited to Iran, Cuba, Syria, North Korea, and the Crimea, Donetsk, or Luhansk regions of Ukraine.

29. FRAUDULENT OR SUSPICIOUS ACTIVITY #

29.1 If BuzzLocalPH, in its sole discretion, believes that you may have engaged in any fraudulent or suspicious activity and/or transactions, we may take any of the following actions to protect the platform, Buyers, Vendors, third parties, or yourself from losses, chargebacks, claims, penalties, or other liabilities. These actions may include, but are not limited to:

• 29.1.1 Closing, suspending, or limiting your access to your Account or the Services, and/or pausing the processing of any ongoing transactions;
• 29.1.2 Suspending your eligibility under the BuzzLocalPH Purchase Protection Guarantee;
• 29.1.3 Holding, applying, or transferring funds in your Account in compliance with any court orders or legal judgments issued by Philippine or foreign courts applicable to you or your Account;
• 29.1.4 Refusing to provide Services to you now or in the future;
• 29.1.5 Holding your funds for a duration deemed reasonable to protect BuzzLocalPH or third parties against risk or liability in connection with the suspected activity;
• 29.1.6 Coordinating with our payment service partners to recover or block funds related to the suspected fraudulent or suspicious transactions.

Definitions for the purposes of this section:

• Chargeback: A request initiated by a Buyer to their bank or credit/debit card issuer to reverse a payment made for a transaction.
• Claim: A formal dispute raised by a Buyer or Vendor with BuzzLocalPH regarding a transaction on the platform.
• Reversal: A reversal of payment initiated by BuzzLocalPH due to (a) invalidation by the sender’s bank, (b) error in remittance, (c) unauthorized payment (e.g., use of a stolen card), (d) a violation of BuzzLocalPH’s policies, or (e) a decision made in favor of the disputing party in a Claim.

30. INDEMNITY #

30.1 You agree to indemnify, defend, and hold harmless BuzzLocalPH, including its owners, affiliates, directors, officers, agents, partners, and employees (collectively, the “Indemnified Parties”), from and against any and all claims, legal actions, proceedings, liabilities, damages, penalties, settlements, fines, costs, and expenses (including reasonable legal and dispute resolution fees) incurred by any Indemnified Party arising out of or related to the following:

• 30.1.1 Any transaction conducted through the BuzzLocalPH platform, or any dispute related to such transaction (except where BuzzLocalPH is the direct Seller involved in the dispute);
• 30.1.2 Issues arising from the BuzzLocalPH Purchase Protection Guarantee;
• 30.1.3 The hosting, operation, administration, or provision of the Services on behalf of BuzzLocalPH;
• 30.1.4 Your violation of any provision of these Terms of Service, or any other policy, guideline, or rule referenced herein;
• 30.1.5 Your use or misuse of the Services or platform features;
• 30.1.6 Your violation of any applicable law or infringement of any third party’s rights; or
• 30.1.7 Any content you upload, submit, or make publicly available on the BuzzLocalPH platform.

31. FORCE MAJEURE #

31.1 BuzzLocalPH shall not be held liable for any failure or delay in the performance of its obligations under these Terms of Service due to causes beyond its reasonable control. Such causes include, but are not limited to:

• Acts of God (such as earthquakes, typhoons, floods, or other natural disasters);
• Government actions or orders, including lockdowns, import/export restrictions, or public health mandates;
• Wars, riots, civil disturbances, terrorism, or armed conflicts;
• Labor disputes, strikes, or industrial actions (whether or not involving our employees);
• System failures, power outages, internet service interruptions, or cyberattacks not caused by BuzzLocalPH’s gross negligence;
• Any other events or circumstances beyond the reasonable control of BuzzLocalPH.

31.2 In such cases, BuzzLocalPH shall be excused from performance for the duration of the force majeure event and will resume performance as soon as reasonably possible. If the force majeure event continues for a period of thirty (30) days or more, either party may terminate the agreement without penalty, upon written notice.

32. SEVERABILITY #

32.1 If any provision of these Terms of Service is found to be unlawful, void, or unenforceable under the laws of any jurisdiction, that specific provision shall be deemed severable from the remainder of the Terms. Such a determination will not affect the validity or enforceability of the remaining provisions in that jurisdiction, nor will it affect the enforceability of the severed provision under the laws of any other jurisdiction.

33. NOTICES #

33.1 All notices or other formal communications required or permitted under these Terms of Service must be in writing and shall be deemed properly given if delivered:

• By email to your registered email address associated with your BuzzLocalPH account;
• By BuzzLocalPH to any contact details (including email or physical address) you provided upon registration or later updated in your Account Settings; or
• By posting a general notice or update directly on the BuzzLocalPH Platform, which shall constitute valid notice to all Users.

33.2 Legal notices to BuzzLocalPH must be sent to:

33.3 Notices shall be deemed received:

• For emails, on the date sent, unless a delivery failure notice is received;
• For posted mail or courier, five (5) business days after dispatch;
• For platform announcements, immediately upon being made publicly available on the BuzzLocalPH website or mobile application.

34. GOVERNING LAW #

34.1 These Terms of Service shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act are expressly excluded and shall not apply to these Terms.

Unless otherwise required by applicable laws, any dispute, controversy, claim, or disagreement arising out of or in connection with these Terms of Service — including but not limited to their breach, formation, termination, validity, interpretation, or enforceability — involving BuzzLocalPH or any of its affiliates or Indemnified Parties shall be referred to and finally resolved through arbitration.

The arbitration shall be administered by the Philippine Dispute Resolution Center, Inc. (“PDRCI”) in accordance with the PDRCI arbitration rules in effect at the time, which are deemed incorporated by reference into this clause. The seat of arbitration shall be the Philippines, and the arbitration shall be governed by Philippine law.

The tribunal shall consist of three (3) arbitrators: one (1) appointed by each party within thirty (30) days from the receipt of a Notice of Arbitration, and a third arbitrator appointed by mutual agreement of the two arbitrators within thirty (30) days of the appointment of the second arbitrator. If an agreement is not reached, the third arbitrator shall be appointed in accordance with the PDRCI Rules. The language of arbitration shall be English.

35. GENERAL PROVISIONS #

35.1 BuzzLocalPH reserves all rights not expressly granted herein.

35.2 BuzzLocalPH may modify these Terms of Service at any time by posting the revised Terms of Service on this Platform. Your continued use of the Platform and/or receipt of any Services (including, for the avoidance of doubt, the continued use of your BuzzLocalPH account) after such changes have been posted shall constitute your acceptance of the revised Terms of Service.

35.3 You may not assign, sublicense, or transfer any rights granted to you under these Terms, nor may you subcontract any of your obligations without prior written consent.

35.4 Nothing in these Terms of Service shall be construed as creating a partnership, joint venture, or principal-agent relationship between you and BuzzLocalPH. You are not authorized to incur any obligation on behalf of BuzzLocalPH without prior written consent.

35.5 The failure of BuzzLocalPH at any time to enforce any provision of these Terms shall not affect its right to enforce the same provision later, unless waived in writing.

34.6 These Terms of Service are for the exclusive benefit of BuzzLocalPH and you. No third party shall have rights under these Terms, except for BuzzLocalPH’s affiliates and their respective successors and assigns.

34.7 These Terms, along with any referenced policies or agreements, constitute the entire agreement between you and BuzzLocalPH regarding your use of the Services and the Platform. All prior understandings, representations, and agreements are superseded. No party has relied on any statement or assurance not expressly contained in these Terms. These Terms may not be contradicted or supplemented by prior agreements or additional oral terms.

35.8 You agree to comply with all applicable laws relating to anti-bribery and corruption, including but not limited to the Philippine Anti-Graft and Corrupt Practices Act, and if applicable, the UK Bribery Act and the US Foreign Corrupt Practices Act. You also confirm that you have policies in place to support compliance with these laws.

36. GOVERNING LAW #

36.1 These Terms of Service and any disputes or claims arising from or in connection with the use of the BuzzLocalPH Platform shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

36.2 You agree that any disputes, controversies, or claims arising out of or relating to these Terms — including their interpretation, breach, termination, or validity — shall be submitted to the appropriate courts of law in the Philippines, unless the parties agree to an alternative method of dispute resolution such as arbitration, as permitted under applicable laws.

36.3 In cases where arbitration is chosen, it shall be administered by a recognized dispute resolution body such as the Philippine Dispute Resolution Center, Inc. (PDRCI), in accordance with its rules. The seat of arbitration shall be in the Philippines, and the language of arbitration shall be English.
