1. INTRODUCTION #

1.1 Welcome to the BuzzLocalPH platform (the “Site” and “App”), operated by BuzzLocalPH Online Shop, a sole proprietorship registered in the Philippines and managed by Noel Custodio Saniel Jr. (individually and collectively referred to as “BuzzLocalPH”, “we”, “us”, or “our”). These Terms of Service govern your access to and use of our website, mobile application, and related services. Please read them carefully before registering an account or conducting any transactions on the platform.

1.2 The services we provide or make available (collectively, the “Services”) include:

  • 1.2.1 the BuzzLocalPH website and all related subdomains, as well as our official mobile application;
  • 1.2.2 tools and features for vendor and customer use, including vendor storefronts, product listings, subscription plans, order management, customer service communication, and mobile integration;
  • 1.2.3 all content, data, media, and materials displayed, submitted, or transmitted on or through the Site or Services, including but not limited to text, images, graphics, sounds, videos, software, application services, and other materials (collectively, the “Content”).

Any new features or enhancements that expand or improve our Services will also be governed by these Terms of Service.

1.3 BuzzLocalPH provides an online marketplace that facilitates digital commerce between independent sellers (“Vendors”) and buyers (“Buyers”) (collectively referred to as “Users” or “you”). BuzzLocalPH is not a party to the actual contract for the sale of goods or services between Users and does not claim ownership over any products listed by Vendors.

  • 1.3.1 The contract of sale is entered into directly between Buyer and Vendor.
  • 1.3.2 BuzzLocalPH does not guarantee or assume responsibility for any obligations, representations, or service standards between Buyers and Vendors, including but not limited to product quality, shipping, pricing accuracy, fulfillment timelines, or returns.
  • 1.3.3 Each User is solely responsible for their listings, transactions, communications, and legal compliance.
  • 1.3.4 BuzzLocalPH may moderate, review, or remove any User-generated content or listings that violate our Terms or policies; however, we do not guarantee the review or verification of all content submitted to the platform.
  • 1.3.5 We do not warrant that all transactions initiated on the platform will be completed.

BuzzLocalPH also offers optional paid subscription packages and value-added services for Vendors. By subscribing to any Plan, Vendors agree to the associated features, commission structures, billing terms, and service conditions as detailed during plan enrollment.

1.4 By accessing or using our Site or App, or by registering for an Account, you confirm that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy. You also consent to the collection, use, and processing of your personal data in accordance with the Philippine Data Privacy Act of 2012 and related regulations.

1.5 BuzzLocalPH may, at its sole discretion and in accordance with applicable laws, modify, suspend, or discontinue any aspect of the Site, App, or Services at any time with or without notice.

  • 1.5.1 We may release beta or experimental features that may be unstable or incomplete.
  • 1.5.2 We may restrict access to specific features or user roles as needed.
  • 1.5.3 Users found to be in violation of these Terms may have their access suspended or revoked without prior notice.

1.6 BuzzLocalPH reserves the right to decline registration, suspend access, or permanently ban any User for any reason, including but not limited to policy violations, fraudulent activity, or non-compliance with our Terms.

1.6.1 BY ACCESSING OR USING BUZZLOCALPH, OR BY CREATING AN ACCOUNT, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE.

2. PRIVACY #

2.1 Your privacy is very important to us at BuzzLocalPH. To better protect your rights, we have provided the BuzzLocalPH Privacy Policy to explain our privacy practices in detail. Please review the Privacy Policy to understand how BuzzLocalPH collects, uses, and protects the information associated with your Account and/or your use of the Services (referred to as the “User Information”). By using the Services or providing information on the Site, you:

  • 2.1.1 consent to BuzzLocalPH’s collection, use, disclosure, and/or processing of your Content, personal data, and User Information as described in the Privacy Policy;
  • 2.1.2 agree and acknowledge that the proprietary rights of your User Information are jointly held by you and BuzzLocalPH, solely for the purpose of delivering services as outlined in this agreement; and
  • 2.1.3 shall not, whether directly or indirectly, disclose your User Information to any third party, or allow any third party to access or use your User Information, without BuzzLocalPH’s prior written consent, unless required by law.
  • 2.1.4 You acknowledge that BuzzLocalPH may collect identity documents, tax registration details, and contact information for the purposes of account verification, compliance with Know Your Customer (KYC) procedures, or as otherwise required by law. This data is processed and stored in accordance with our Privacy Policy, available at https://buzzlocal.ph/docs/privacy-policy/.

2.2 Users who come into possession of another User’s personal data through the use of the Services (the “Receiving Party”) hereby agree that they will:

2.2.3 allow the Disclosing Party to review the information collected about them by the Receiving Party, in accordance with applicable privacy rights and legal procedures.

2.2.1 comply with all applicable data privacy laws and regulations in the Philippines, including the Data Privacy Act of 2012, with respect to any such data;

2.2.2 allow the User whose personal data was collected (the “Disclosing Party”) to request removal of their data from the Receiving Party’s records or systems, where such request is valid and supported by law; and

2.2.3 allow the Disclosing Party to review the information collected about them by the Receiving Party, in accordance with applicable privacy rights and legal procedures.

3. LIMITED LICENSE #

3.1 BuzzLocalPH grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the BuzzLocalPH website and mobile application (collectively, the “Platform”) and Services, strictly in accordance with these Terms of Service. This license does not include any resale or commercial use of the Platform or its Content unless expressly permitted in writing.

All proprietary content, trademarks, service marks, brand names, logos, source code, and other forms of intellectual property (“Intellectual Property”) displayed or used on the Platform are the sole property of BuzzLocalPH and, where applicable, third-party proprietors identified therein.

  • 3.1.1 No right, title, or interest is granted to any party accessing the Platform to reproduce, republish, distribute, modify, reverse-engineer, or exploit any Intellectual Property without express written permission from BuzzLocalPH.
  • 3.1.2 By accessing or using the Services, you agree to comply with all applicable intellectual property laws and acknowledge that any unauthorized use of BuzzLocalPH’s IP is a violation of these Terms and may result in legal action.
  • 3.1.3 You agree not to copy, reproduce, transmit, publicly display, perform, adapt, or create derivative works of any content, service interface, data set, or media on the Platform without BuzzLocalPH’s prior written consent.
  • 3.1.4 You may not frame, mirror, or deep-link to any part of the Platform without express written approval.
  • 3.1.5 You may not use bots, crawlers, data scrapers, or other automated or manual methods to extract or replicate any portion of the Platform or database, except standard indexing tools used by search engines.

3.2 BuzzLocalPH grants Vendors limited permission to upload logos, banners, product photos, videos, and promotional materials for use in their storefronts or listings (“Vendor Content”). By submitting Vendor Content, you grant BuzzLocalPH a non-exclusive, royalty-free, and sublicensable license to use, display, and promote your content within the platform (e.g., homepage highlights, newsletters, social media, blog features), with or without prior notice, for marketing or community engagement purposes.

  • 3.2.1 BuzzLocalPH will not alter or claim ownership over Vendor Content but may resize or adapt assets for presentation consistency.
  • 3.2.2 Vendors remain solely responsible for ensuring they have the legal rights and permissions to use and upload any materials submitted to the Platform.

3.3 You may link to the BuzzLocalPH homepage from your personal or business website, provided such linking:

  • Does not falsely suggest affiliation with BuzzLocalPH;
  • Does not frame our Platform or misrepresent our content;
  • Does not present BuzzLocalPH or its services in a misleading or defamatory manner.

BuzzLocalPH reserves the right to revoke linking permissions at any time and without liability.

3.4 All rights not expressly granted in these Terms are reserved by BuzzLocalPH. Unauthorized use of the Platform, its Services, or its intellectual property may result in legal action and/or immediate termination of your Account.

4. SOFTWARE #

4.1 Any software provided by BuzzLocalPH as part of the Services — including but not limited to web-based code, scripts, mobile applications, SDKs, and software updates — is licensed, not sold, to you for limited use under these Terms. All rights not expressly granted are reserved by BuzzLocalPH.

  • 4.1.1 You agree not to copy, modify, reverse-engineer, distribute, resell, or attempt to extract the source code of any part of the BuzzLocalPH platform or its software components.
  • 4.1.2 BuzzLocalPH reserves the right to issue updates or patches to its software at any time. Your continued use of the Site or App after such updates constitutes acceptance of any resulting changes.

4.2 BuzzLocalPH may offer integrations, themes, plugins, or services that are built on third-party platforms such as WooCommerce, Dokan, WordPress, PayPal, or analytics tools. These third-party elements are subject to their own licensing terms, disclaimers, and data collection practices.

  • 4.2.1 BuzzLocalPH does not provide any warranty or guarantee regarding the reliability, performance, or compatibility of third-party software used on or alongside the platform.
  • 4.2.2 Users are solely responsible for ensuring the accuracy and security of any content or data shared through these tools.

4.3 Any unauthorized modification of BuzzLocalPH software, including mobile apps, themes, or plugin configurations, is strictly prohibited and may result in account suspension or legal action.

5. ACCOUNTS AND SECURITY #

5.1 Access to certain features of the Services requires registration of a user account (the “Account”). You agree to provide accurate and up-to-date personal or business information during registration, including your full legal name, valid contact details, and supporting documents if required for verification. If you select a username or store name deemed offensive, misleading, or impersonating another entity, BuzzLocalPH reserves the right to suspend or delete your Account.

5.2 You are responsible for all activities that occur under your Account, regardless of whether such activities were authorized by you. To maintain account security, you agree to:

  • 5.2.1 Keep your login credentials confidential;
  • 5.2.2 Use two-factor authentication (2FA), if and when available, to enhance your security;
  • 5.2.3 Log out of your Account at the end of each session;
  • 5.2.4 Immediately notify BuzzLocalPH of any unauthorized access or suspected security breach;
  • 5.2.5 Ensure your account profile, contact information, and linked financial details remain accurate at all times.

BuzzLocalPH shall not be liable for any loss or damage resulting from your failure to comply with this section.

5.3 BuzzLocalPH reserves the right to suspend, restrict, or permanently disable any Account, Sub-Account, or User ID, without prior notice, if we have reason to believe the Account is:

  • Inactive for an extended period;
  • Used to engage in fraud, harassment, exploitation, or illegal activity;
  • Operating duplicate or misleading accounts;
  • Circumventing subscription tier limitations (e.g., operating multiple Free Plan accounts to bypass product limits or commission fees);
  • Abusing promotional credits or voucher systems;
  • Submitting false or unverifiable tax or identity documentation;
  • Violating these Terms or any applicable laws;
  • Causing harm to other Users or to the business interests of BuzzLocalPH.

We reserve the right to freeze any outstanding balance in your Seller Account while an investigation is ongoing, and to report any unlawful activity to the appropriate authorities.

5.4 You may request Account termination by emailing [email protected]. Termination requests may take up to 24 hours to process. You remain responsible for fulfilling any pending orders, financial obligations, or legal responsibilities tied to your Account.

5.5 You may only register an Account if you are located in a supported region. BuzzLocalPH may expand or limit supported regions at any time. International vendors may be subject to additional verification or service limitations.

5.6 Vendors may request or be granted Sub-Accounts for internal use by staff or business managers. Sub-Accounts are bound by the same rules and restrictions as the main Account and are the full legal responsibility of the Account owner.

  • 5.6.1 Vendors are responsible for all activities conducted under Sub-Accounts;
  • 5.6.2 Sub-Accounts may not be used to bypass plan restrictions, replicate listings, or exploit platform tools;
  • 5.6.3 BuzzLocalPH reserves the right to revoke Sub-Account access at its discretion

6. TERMS OF USE #

6.1 Your license to use the BuzzLocalPH Platform and its Services is contingent on your continued compliance with these Terms. BuzzLocalPH reserves the right to suspend, revoke, or permanently terminate your access with or without notice if you violate any part of this agreement.

6.2 You agree not to engage in any prohibited conduct while using the Platform, including but not limited to the following:

  • 6.2.1 Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, hateful, or otherwise objectionable;
  • 6.2.2 Violate any laws, including but not limited to those relating to intellectual property, commerce, or restrictions on prohibited items;
  • 6.2.3 Harm or exploit minors, including uploading content featuring unsupervised minors;
  • 6.2.4 Impersonate any person or misrepresent your affiliation, including using false verification documents;
  • 6.2.5 Forge headers or otherwise disguise the origin of transmitted content;
  • 6.2.6 Remove proprietary notices from the Site or Services;
  • 6.2.7 Modify, create derivative works from, or translate the Services without written permission from BuzzLocalPH;
  • 6.2.8 Use the Services in any unauthorized or unlawful manner, including for the benefit of a third party;
  • 6.2.9 Upload or transmit fraudulent, misleading, or deceptive content;
  • 6.2.10 Operate multiple user accounts for abusive or deceptive purposes;
  • 6.2.11 Use unauthorized software, bots, or hardware (e.g., emulators or scrapers) to interact with the Site;
  • 6.2.12 Manipulate the price of items or interfere with other users’ listings;
  • 6.2.13 Undermine or manipulate the rating and feedback system;
  • 6.2.14 Attempt to decompile, reverse engineer, or hack the Site or Services, or bypass security measures;
  • 6.2.15 Harvest or collect personal data of other Users without lawful basis;
  • 6.2.16 Upload content that you do not have the legal right to distribute (e.g., insider info, trade secrets);
  • 6.2.17 Infringe on third-party rights, including copyright or trademark;
  • 6.2.18 Send spam, unsolicited promotions, or chain letters via the platform;
  • 6.2.19 Upload malware, viruses, worms, or any software intended to damage or interfere with systems or data;
  • 6.2.20 Disrupt the flow of conversations or act in a way that impairs real-time exchanges between users;
  • 6.2.21 Interfere with the servers or networks connected to the Site or Services;
  • 6.2.22 Engage in actions that could damage, disable, or overload the Site or Services;
  • 6.2.23 Use the Services in violation of any local, national, or international laws, including anti-money laundering or counter-terrorism laws;
  • 6.2.24 Use the platform to circumvent or violate international sanctions or embargoes;
  • 6.2.25 Harass, stalk, or violate the privacy of other users;
  • 6.2.26 Infringe on BuzzLocalPH’s intellectual property or misrepresent association with our brand;
  • 6.2.27 Collect or store personal data of other users for prohibited purposes; and/or
  • 6.2.28 List items that infringe on third-party rights, including unauthorized or counterfeit goods.
  • 6.2.29 Attempting to bypass paid subscription plan limits by creating multiple Free Plan accounts or otherwise misrepresenting your account tier;
  • 6.2.30 Uploading listings or vendor materials that are non-compliant with BuzzLocalPH, GeoDirectory, WooCommerce, or any applicable third-party plugin guidelines;
  • 6.2.31 Falsely claiming or misrepresenting affiliations, badges, or platform-sponsored endorsements.

6.3 You acknowledge that all content on the platform is the sole responsibility of the User who submitted it. BuzzLocalPH does not pre-approve all content and disclaims any liability related to exposure to offensive, misleading, or unlawful material.

6.4 BuzzLocalPH and its appointed moderators reserve the right (but not the obligation) to screen, suppress, or remove any content that:

  • 6.4.1 Violates these Terms or platform policies;
  • 6.4.2 Has received a user complaint or report;
  • 6.4.3 Infringes legal rights, copyrights, or trademarks;
  • 6.4.4 Is deemed harmful to users or BuzzLocalPH’s reputation.

In addition, BuzzLocalPH may demote the visibility of vendor listings or profiles that repeatedly violate platform standards or community expectations.

6.5 You consent that BuzzLocalPH may access and disclose your account details or stored content to relevant authorities or third parties:

  • 6.5.1 When required by law or court order;
  • 6.5.2 To investigate Terms violations or legal complaints;
  • 6.5.3 To resolve customer service disputes;
  • 6.5.4 To protect the rights, property, and safety of BuzzLocalPH, its users, or the public.

6.6 BuzzLocalPH may aggregate and process data related to product listings, vendor performance, or buyer engagement to improve the platform’s services. This may include adjusting search rankings, analytics insights, or promotional eligibility across listings, stores, or categories. order to improve platform services, filter search results, or enhance the user experience. This may include merging performance data across listings, vendors, or categories where relevant and lawful.

7. VIOLATION OF OUR TERMS OF SERVICE #

7.1 BuzzLocalPH takes violations of these Terms of Service seriously. If a User is found to be in breach of any part of these Terms, BuzzLocalPH may, at its sole discretion, take any or all of the following actions:

  • 7.1.1 Remove or delete non-compliant listings, content, or vendor materials;
  • 7.1.2 Limit access to certain features or suspend account privileges (e.g., search visibility, posting rights);
  • 7.1.3 Suspend or permanently deactivate the offending User’s Account or Sub-Accounts;
  • 7.1.4 Temporarily or permanently withhold or reverse Seller Balance payouts;
  • 7.1.5 Cancel in-progress transactions or promotional placements;
  • 7.1.6 Disqualify the User from participating in future programs, incentives, or featured placements;
  • 7.1.7 Refer the matter to legal authorities or regulatory agencies for further action;
  • 7.1.8 Initiate civil legal proceedings for damages, injunctive relief, or enforcement of platform rights;
  • 7.1.9 Ban the User across current and future versions of BuzzLocalPH’s website, mobile app, or affiliated services.

7.2 For minor or first-time violations, BuzzLocalPH may issue a formal warning or request corrective action within a specified timeframe. Failure to comply may lead to escalated enforcement.

7.3 If you believe another User is violating these Terms, you are encouraged to contact our team via email at [email protected] with a detailed explanation and any relevant screenshots or evidence.

7.4 BuzzLocalPH reserves the right to determine the severity and appropriate consequence for any violation based on impact, recurrence, and intent. Our decision shall be final and binding.

8. REPORTING INTELLECTUAL PROPERTY RIGHTS INFRINGEMENT #

8.1 BuzzLocalPH strictly prohibits the listing, promotion, or sale of any product that infringes upon the intellectual property rights of others, including but not limited to trademarks, copyrights, patents, design rights, or trade secrets.

8.2 Unless explicitly stated, all Vendors on BuzzLocalPH are independent entities. BuzzLocalPH is not a legal representative, reseller, distributor, or endorser of any products sold through the platform, and it does not assume legal ownership or control of any merchandise listed by Vendors.

8.3 If you are the intellectual property rights holder (“IPR Owner”) or their authorized agent (“IPR Agent”), and believe that your rights are being infringed by a product, listing, or vendor on BuzzLocalPH, you may submit a written complaint to [email protected] with the documentation listed below.

8.4 A complete complaint submission must include:

  • 8.4.1 A physical or digital signature of the IPR Owner or authorized IPR Agent;
  • 8.4.2 Description of the specific intellectual property right allegedly infringed, and valid proof of ownership (e.g., registration certificate);
  • 8.4.3 A detailed explanation of the alleged infringement;
  • 8.4.4 Direct URLs to the offending listing(s) on the BuzzLocalPH platform;
  • 8.4.5 Complete contact information of the complainant (name, address, phone number, and email);
  • 8.4.6 A good faith statement affirming that the use is unauthorized and constitutes an infringement;
  • 8.4.7 A declaration of the accuracy of the information provided and confirmation that the complainant is authorized to act on behalf of the IPR Owner.

8.5 BuzzLocalPH will review all IPR complaints in good faith but does not guarantee immediate removal or resolution. We may, at our discretion:

  • Remove or disable access to the allegedly infringing content;
  • Notify the Vendor and request a counter-claim;
  • Temporarily suspend or permanently remove Vendor listings or their Account;
  • Report serious or repeated violations to appropriate legal authorities.

8.6 BuzzLocalPH does not mediate business or contractual disputes between brands and resellers, including disagreements related to pricing policies, exclusivity clauses, or authorized dealer status. Such matters must be resolved between the concerned parties.

8.7 BuzzLocalPH reserves the right to take appropriate action against those submitting fraudulent or malicious IPR complaints, including account restrictions or legal referral.

8.8 Vendors agree to indemnify and hold BuzzLocalPH harmless from any legal claims, damages, or liabilities arising from:

  • 8.8.1 Any IPR infringement due to their uploaded content or listings;
  • 8.8.2 The removal or deactivation of any content or listing resulting from a valid complaint.

9. PURCHASE AND PAYMENT #

9.1 Buyers may purchase goods and services from Vendors through the BuzzLocalPH website or mobile app using available payment options. Supported payment methods currently include:

  • PayPal
  • Cash on Delivery (COD) — where supported
  • Credit/debit cards (via Stripe, subject to rollout)
  • GCash and Maya (via Xendit or PayMongo, launching in 2025)

BuzzLocalPH reserves the right to expand or discontinue payment channels at any time.

9.2 BuzzLocalPH is not the seller of goods on the platform and does not take legal ownership of products sold by Vendors. Product availability, pricing accuracy, quality, legality, and delivery are the sole responsibility of the Vendor. Buyers assume full risk upon making a transaction.

9.3 While BuzzLocalPH facilitates payment processing, it is not a trustee or custodian of transaction funds. All purchases are deemed contracts between Buyer and Vendor. BuzzLocalPH may assist with dispute resolution but is not legally obligated to mediate any claims.

9.4 Before placing an order, Buyers are responsible for:

  • Reviewing listing details, photos, and descriptions;
  • Verifying pricing and shipping costs;
  • Communicating with Vendors regarding availability or customization, if needed.

9.5 Vendors are responsible for:

  • Ensuring listings are accurate, truthful, and updated;
  • Complying with tax obligations and product regulations;
  • Fulfilling confirmed orders promptly and responding to Buyer inquiries in a timely manner;
  • Including all taxes and fees in their published prices.

9.6 BuzzLocalPH may charge transaction fees, platform fees, commissions, or processing fees to Vendors depending on the selected subscription plan. These charges will be automatically deducted prior to disbursement of sales proceeds.

9.7 Subscriptions for Vendor Plans (e.g., Free, Starter, Pro, Elite) are billed monthly or annually and may auto-renew unless cancelled before the renewal date. Fees paid for subscriptions, upgrades, add-on services, or promotional placements are non-refundable, except as required by law.

9.8 BuzzLocalPH reserves the right to withhold, delay, cancel, or reverse any payment or payout if fraud, suspicious activity, abuse of platform features, or technical errors are detected. In such cases, we may request additional verification from the Buyer or Vendor, including government ID, proof of fulfillment, or transaction records.

10. DELIVERY & RETURNS #

10.1 Vendors are solely responsible for handling the shipment, delivery, and fulfillment of products sold through the BuzzLocalPH platform. BuzzLocalPH does not offer direct delivery services and is not liable for any delay, loss, or damage that occurs during transit.

10.2 Vendors must clearly specify delivery methods, lead times, serviceable areas, and associated shipping costs within their product listings. Available fulfillment options may include:

  • Pickup (by buyer or designated courier)
  • Local delivery via third-party providers
  • Nationwide shipping (if applicable)

10.3 Buyers are advised to review all delivery terms and communicate directly with the Vendor before confirming a purchase. Delivery timelines are approximate and may vary based on location or courier availability.

10.4 Vendors are encouraged to use trackable delivery methods and may be required to submit valid proof of shipment (e.g., tracking number, courier receipt, delivery photo) in the event of a dispute or chargeback.

10.5 Return, refund, or exchange requests must be handled directly between Buyer and Vendor, based on the Vendor’s published policy or mutual agreement. BuzzLocalPH does not process or guarantee refunds unless stated otherwise in a promotional or platform-wide policy.

10.6 Vendors must clearly communicate any non-returnable conditions for:

  • Perishable items (e.g., food, plants, baked goods)
  • Custom or made-to-order products
  • Digital goods or downloadable services

10.7 Buyers must inspect the goods upon receipt and notify the Vendor of any issue within a reasonable period (generally within 48 hours) if requesting a return, refund, or replacement.

10.8 In the event of an unresolved issue, BuzzLocalPH may — at its sole discretion — assist with dispute resolution by reviewing available documentation. However, we do not guarantee enforcement or financial mediation.

10.9 BuzzLocalPH may, at its discretion, offer a Guaranteed Arrival Date for certain listings (“Eligible Products”). If the product is not delivered by the stated date, BuzzLocalPH may issue a non-transferable On-Time Guarantee Voucher to the Buyer. This voucher must be claimed within three (3) days of order completion. Expired or unclaimed vouchers are forfeited. Issuance of such a voucher does not constitute BuzzLocalPH’s admission of liability.

10.10 For items listed as shipping from overseas, Buyers acknowledge that the product is sold by a Vendor located outside the Philippines and is subject to import regulations, taxes, and customs rules. BuzzLocalPH disclaims all responsibility for delays or fees due to international logistics.

10.11 If no delivery complaint is submitted within the timeframes defined in BuzzLocalPH policies, the order will be deemed successfully delivered. BuzzLocalPH shall not be held liable for claims filed after this period.

10.12 Vendors are encouraged to secure insurance for high-value or fragile shipments. Any claims for loss or damage during transit must be resolved directly between the Buyer and the Vendor.

11. VOUCHERS & PROMOTIONS #

11.1 BuzzLocalPH may offer time-limited promotions, discount codes, referral bonuses, or campaign credits (“Vouchers”) to Buyers and Vendors. These Vouchers may be issued manually or automatically and are subject to terms specific to the promotion.

11.2 Vouchers:

  • Are non-transferable, non-exchangeable, and not redeemable for cash unless explicitly stated;
  • May be limited to specific accounts, subscription plans, product categories, or promotional events;
  • Are valid only for the duration and conditions set by BuzzLocalPH;
  • May require a minimum purchase amount or other qualifying actions (e.g., first listing, store activation, referral sign-up).

11.3 BuzzLocalPH reserves the right to modify, suspend, or cancel any Voucher or promotion at any time without prior notice, especially in cases of:

  • Fraudulent behavior (e.g., creating multiple accounts to claim one-time codes);
  • Misuse or unauthorized use;
  • Technical or administrative error;
  • Abuse of the platform’s referral, cashback, or promo mechanisms.

11.4 Any transaction that violates the Voucher’s terms may be canceled or reversed, and any credited amount may be withheld or debited from the User’s balance.

11.5 Users are responsible for reviewing Voucher details before use. BuzzLocalPH will not reissue expired, lost, or deleted codes.

11.6 BuzzLocalPH may run Vendor-only campaigns offering discounts on subscriptions, featured slots, or sponsored listings. Redemption of these offers is subject to campaign-specific rules and must be completed within the promotional window.

11.7 BuzzLocalPH may also offer incentives for onboarding, referrals, feedback submissions, or content contributions. Participation is voluntary, and BuzzLocalPH reserves full discretion over eligibility, rewards, and payout timelines.

12. FEES & TAXES #

12.1 BuzzLocalPH charges Vendors a variety of fees depending on the services used, including but not limited to:

  • Subscription plan fees (monthly or annual, based on chosen tier);
  • Commission or transaction fees per sale (if applicable);
  • Promotional fees for featured listings, homepage slots, or sponsored placements;
  • Add-on service fees (e.g., onboarding support, branding packages, SMS alerts).

12.2 All fees will be communicated clearly at the time of purchase or during onboarding. By completing any paid action (e.g., subscribing to a plan, confirming an add-on, or enabling promotional services), you agree to pay the stated amount.

12.3 BuzzLocalPH reserves the right to update or modify its pricing structure, subscription packages, or payment terms at any time. Changes will be communicated via the platform or email, and will take effect upon the next billing cycle or renewal period.

12.4 All fees charged by BuzzLocalPH are inclusive of VAT or other applicable taxes where required by law, unless explicitly stated otherwise. Official receipts or invoices may be issued upon request, subject to availability and regulatory compliance.

12.5 Vendors are solely responsible for calculating, collecting, reporting, and remitting any taxes related to their sales. This includes, but is not limited to:

  • Value-Added Tax (VAT);
  • Percentage tax;
  • Income tax and withholding obligations (where applicable);
  • Business registration and local government compliance.

BuzzLocalPH does not provide legal or tax advisory services and is not liable for any penalties resulting from a Vendor’s failure to comply with tax laws.

12.6 BuzzLocalPH may suspend or limit access to certain features, withhold Seller Balance payouts, or cancel promotional eligibility if a Vendor fails to settle outstanding fees or disputes platform charges without due cause.

13. DISCLAIMERS & LIMITATIONS OF LIABILITY #

13.1 The BuzzLocalPH Site, mobile app, and Services are provided on an “as is” and “as available” basis. We make no warranties or guarantees — express or implied — regarding platform performance, availability, merchantability, fitness for a particular purpose, or non-infringement of third-party rights.

13.2 BuzzLocalPH does not warrant that:

  • The Services will be timely, secure, uninterrupted, or error-free;
  • The results obtained from the use of the platform will be accurate or reliable;
  • Any errors in the software or functionality will be corrected;
  • The content or platform will be free from viruses or harmful components.

13.3 BuzzLocalPH is not responsible for:

  • The acts, omissions, listings, or behavior of Buyers, Vendors, or third-party service providers;
  • The outcome of any transaction or interaction initiated through the platform;
  • Delays, errors, or failures caused by third-party plugins, courier services, or payment gateways;
  • Technical limitations, mobile app malfunctions, or service disruptions due to force majeure.

13.4 To the fullest extent permitted by law, BuzzLocalPH shall not be liable for any damages — direct or indirect, incidental or consequential — including but not limited to:

  • Loss of sales, data, or profits;
  • Platform downtime, transaction failures, or listing errors;
  • Vendor misrepresentation, pricing issues, or customer disputes;
  • Unauthorized access to User data or Accounts;
  • Suspension or deletion of content or listings under our enforcement policies.

13.5 Vendors are solely responsible for:

  • The legality, safety, and accuracy of the products or services they list;
  • Fulfilling confirmed orders and handling customer service concerns;
  • Ensuring compliance with all applicable commercial, tax, and product laws.

13.6 In any case where liability is found against BuzzLocalPH, our total liability shall not exceed the total fees paid by the User to BuzzLocalPH in the six (6) months preceding the claim.

13.7 If you are dissatisfied with the Site, Services, or any terms herein, your sole and exclusive remedy is to discontinue use of the platform.

14. INDEMNITY #

14.1 You agree to indemnify, defend, and hold harmless BuzzLocalPH, its owners, affiliates, directors, officers, employees, agents, service providers, and licensors from and against any and all losses, liabilities, claims, damages, penalties, expenses, or costs (including legal fees) arising out of or related to:

  • 14.1.1 Your use or misuse of the Site, mobile app, or Services;
  • 14.1.2 Your breach of any provision in these Terms of Service or our platform policies;
  • 14.1.3 Any claim or legal action brought by a third party resulting from your product listings, business practices, or transactions;
  • 14.1.4 Any intellectual property, defamation, privacy, product liability, false advertising, or regulatory violation tied to your Vendor Account;
  • 14.1.5 Any tax or commercial obligation incurred by your business or its representatives;
  • 14.1.6 Activities conducted under your Account or by your Sub-Accounts, whether or not expressly authorized by you.

14.2 This indemnity obligation survives account deactivation, termination, or withdrawal from the platform and continues to apply to all historical activity related to your use of BuzzLocalPH.

15. GOVERNING LAW & DISPUTE RESOLUTION #

15.1 These Terms of Service and any relationship between you and BuzzLocalPH shall be governed and interpreted in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

15.2 In the event of any dispute, controversy, or claim arising from or relating to these Terms, the Services, or your use of the BuzzLocalPH platform, both parties agree to first attempt resolution in good faith through informal negotiation or written correspondence within a reasonable period (not exceeding thirty [30] days).

15.3 If resolution cannot be reached through informal means, the parties agree to submit the dispute to the exclusive jurisdiction of the proper courts located in San Pablo City, Laguna, Philippines.

15.4 BuzzLocalPH reserves the right, in its sole discretion, to:

  • Refer serious or unresolved matters to the Department of Trade and Industry (DTI), National Privacy Commission (NPC), or other relevant regulatory agencies;
  • Initiate legal action in civil or criminal courts to protect its rights, reputation, platform integrity, or user community.

15.5 Nothing in this section shall limit BuzzLocalPH’s right to seek injunctive or equitable relief for any violation of its intellectual property or breach of confidentiality.

16. GENERAL PROVISIONS #

16.1 If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified only to the extent necessary to make it enforceable, or severed if required, without affecting the validity and enforceability of the remaining Terms.

16.2 The failure of BuzzLocalPH to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.

16.3 These Terms, together with our Privacy Policy and any supplemental terms linked to specific features (e.g., subscription plans, promotions), constitute the entire agreement between you and BuzzLocalPH concerning the use of the platform. It supersedes all prior written or oral agreements or communications.

16.4 You may not assign or transfer your Account, rights, or obligations under these Terms without prior written consent from BuzzLocalPH. We may freely assign or transfer these Terms, in whole or in part, in the event of a merger, acquisition, business transfer, or sale of assets.

16.5 The following provisions shall survive termination or suspension of your Account: Sections on Limitation of Liability, Indemnity, Dispute Resolution, and any provision that by its nature should reasonably survive.

16.6 The section titles in these Terms are for convenience only and have no legal or contractual effect.

17. SELLER BALANCE AND PAYOUTS #

17.1 The Seller Balance refers to the net amount held in a Vendor’s account on BuzzLocalPH, representing proceeds from completed transactions, after deductions such as platform fees, taxes, and refunds.

17.2 Vendors may request withdrawals from their Seller Balance to a registered bank account (“Linked Account”) of up to ₱500,000 per day. BuzzLocalPH may also automate transfers on a recurring schedule. Withdrawals are processed on business days and may take one (1) to three (3) business days to reflect in the Linked Account.

The Linked Account must be registered under the Vendor’s legal name or BIR-recognized tradename in accordance with local laws.

17.3 Vendors are granted a limited number of free withdrawal requests. Excessive or high-frequency withdrawals, as determined by BuzzLocalPH, may incur administrative fees. Fee structures for such withdrawals will be communicated via the platform.

17.4 Proceeds from Vendor sales shall be credited to the Seller Balance under the following conditions:

  • 17.4.1 Within three (3) days after the Buyer confirms delivery; or
  • 17.4.2 Upon expiration of the return/refund period when the order is auto-completed under BuzzLocalPH policy.

These timelines may be extended due to refund processing, dispute resolution, or security verification checks.

17.5 Once submitted, a withdrawal request is final and may not be modified or canceled.

17.6 In case of a transaction error (e.g., duplicate payouts or technical miscalculations), you authorize BuzzLocalPH to debit or credit your Linked Account or Seller Balance to resolve the discrepancy. If such debit fails, BuzzLocalPH may retry through alternate payment methods or future Seller Balance credits.

17.7 BuzzLocalPH may adjust your Seller Balance — without prior notice — under the following circumstances:

  • 17.7.1 Correction of transaction processing errors;
  • 17.7.2 Suspected fraudulent activity;
  • 17.7.3 Buyer-reported lost, damaged, or incorrect items;
  • 17.7.4 Issuance of rebates, rewards, or goodwill credits;
  • 17.7.5 Application of outstanding or missed platform fees;
  • 17.7.6 Settlement of chargebacks or buyer disputes;
  • 17.7.7 Enforcement of penalties for Terms violations or Vendor misconduct;
  • 17.7.8 Refunds due to regulatory seizures or prohibited goods;
  • 17.7.9 Buyer-approved cancellations for change-of-mind orders;
  • 17.7.10 Offset of any Vendor debts to BuzzLocalPH or its service partners;
  • 17.7.11 Automatic purchase of Advertising Credits or add-ons based on Vendor-configured thresholds.

17.8 If your account is suspended, deactivated, or permanently closed due to policy violations or prolonged inactivity, BuzzLocalPH reserves the right to charge an administrative fee against the remaining Seller Balance. Such fees shall be reasonable, clearly defined, and subject to change based on platform needs.

18. BUZZLOCALPH PURCHASE PROTECTION GUARANTEE #

18.1 The BuzzLocalPH Purchase Protection Guarantee is a service provided by BuzzLocalPH and/or its authorized payment processor to promote secure transactions between Buyers and Vendors. Payments made by Buyers will be held in a temporary holding account (“BuzzLocalPH Guarantee Account”) until the order is confirmed as complete. Vendors will not earn interest on funds held in this account.

This Guarantee only applies to transactions completed using official BuzzLocalPH payment channels. Offline payments (e.g., direct bank transfers, cash pickups) are strictly excluded from coverage.

18.2 Buyer’s Purchase Monies will be released to the Vendor’s Seller Balance when:

  • 18.2.1 The Buyer manually confirms receipt of the item, at which point BuzzLocalPH will deduct applicable fees and release the net proceeds;
  • 18.2.2 The Guarantee Period expires without any dispute, in which case the funds are automatically released;
  • 18.2.3 A refund is approved after investigation, in which case the funds will be returned to the Buyer;
  • 18.2.4 BuzzLocalPH, at its discretion, determines that a hold or alternative resolution is necessary due to policy, legal, or risk concerns.

18.3 The length of the Guarantee Period may vary based on product category, logistics conditions, and promotional policies. During this time, the Buyer may raise concerns, and BuzzLocalPH may delay release pending resolution.

18.4 If a Vendor becomes unreachable or inactive, and their funds remain unclaimed for more than six (6) months, BuzzLocalPH will manage those funds in accordance with applicable financial regulations and reporting obligations.

18.5 Buyers and Vendors must transact using their own verified BuzzLocalPH Accounts and provide accurate registration information. Vendors are required to use a BIR-registered business name or legal name for account verification and disbursement purposes.

BuzzLocalPH may request government IDs, BIR registration, or bank proof (“Verification Documents”) from either party at any time for compliance checks. You consent to the secure handling and sharing of such documents with our partners or authorities when required.

Failure to comply with verification requests may result in enforcement action under Sections 1.5, 5.3, 6.2, 7.1, or 17.7.

18.6 This Guarantee is a platform service and does not override or replace any statutory rights or warranties under Philippine law. It is not a substitute for manufacturer warranties, local consumer protection laws, or tax obligations.

18.7 All decisions made by BuzzLocalPH regarding disputes, refunds, or order outcomes under the Guarantee are final and binding. Appeals will be reviewed at our discretion.

18.8 For clarity, any transactions initiated or completed outside of BuzzLocalPH’s payment system — including informal or off-platform agreements — are not covered by this Guarantee. BuzzLocalPH disclaims liability for such transactions.

19. ADVANCED FULFILMENT PROGRAM #

19.1 BuzzLocalPH may invite selected Vendors to participate in an Advanced Fulfilment Program, which enables Vendors to pre-ship inventory (“Sellable Advanced Stock”) to designated storage locations, including third-party fulfilment centers affiliated with BuzzLocalPH. This initiative is intended to improve shipping efficiency and reduce delivery time for Buyers.

BuzzLocalPH reserves the right to relocate Sellable Advanced Stock between its designated facilities at any time, without prior notice or Vendor consent, for logistical optimization.

19.2 Ownership of Sellable Advanced Stock remains with the Vendor until the product is successfully delivered to the Buyer. If an item remains unsold beyond the designated availability period (as defined by BuzzLocalPH), the remaining inventory will be returned to the Vendor.

19.3 Prior to shipment to any fulfilment location, BuzzLocalPH and the Vendor must agree on the quantity, item types, and product specifications for fulfilment. These details must be confirmed through the Vendor Dashboard via an official Advanced Fulfilment Order.

19.4 Upon receipt of Sellable Advanced Stock, BuzzLocalPH reserves the right to inspect the inventory to verify compliance with the agreed order. If any items are found to be mislabeled, defective, damaged, non-compliant, or otherwise unsuitable (“Unsuitable Advanced Stock”), BuzzLocalPH may, at its sole discretion:

  • 19.4.1 Reject part or all of the incoming stock; or
  • 19.4.2 Return the Unsuitable Advanced Stock to the Vendor at the Vendor’s cost.

19.5 Additional fees may apply to Vendors participating in the Advanced Fulfilment Program. These fees may include:

  • Storage charges for unsold stock;
  • Inventory handling fees;
  • Return or re-shipping costs.

All applicable rates shall be clearly communicated through the platform or via official Vendor announcements. BuzzLocalPH reserves the right to update these rates periodically.

20. PLATFORM SHIPPING BENEFITS #

20.1 BuzzLocalPH may, at its sole discretion, offer shipping-related incentives and value-added logistics services to eligible Vendors (“Platform Shipping Benefits”). These may include, but are not limited to:

  • 20.1.1 Shipping discounts funded by BuzzLocalPH and automatically applied to eligible Buyer orders (“Platform Shipping Discounts”);
  • 20.1.2 Promotion of discounted shipping offers through on-site banners, social media, or partner campaigns;
  • 20.1.3 Access to additional shipping enhancements introduced by BuzzLocalPH from time to time.

20.2 For clarity:

  • 20.2.1 BuzzLocalPH retains full control over the scope, criteria, and structure of Platform Shipping Benefits and may modify or terminate these programs at any time without prior notice;
  • 20.2.2 Shipping Discounts will not apply to excluded categories such as virtual goods, e-load, event tickets, SIM cards, gift cards, fuel cards, or e-vouchers;
  • 20.2.3 These benefits are only applicable to orders fulfilled through logistics providers approved by BuzzLocalPH and are subject to stock and route availability.

20.3 BuzzLocalPH may charge administrative or service fees (“Platform Shipping Fees”) to cover the cost of funding, promoting, or managing these shipping programs. These charges are distinct from Seller transaction fees and are subject to VAT. Platform Shipping Fee rates may be updated periodically.

20.4 BuzzLocalPH reserves the right to suspend or revoke access to Platform Shipping Benefits at any time and without compensation, particularly in the event of:

  • Vendor policy violations,
  • Accumulated penalty points under platform compliance rules,
  • Repeated customer complaints,
  • or misuse of shipping programs.

All decisions made by BuzzLocalPH in relation to the offering or removal of shipping benefits shall be final.

21. CANCELLATION, RETURN, AND REFUND #

21.1 Buyers may cancel their order only before payment has been successfully received and processed under the BuzzLocalPH Purchase Protection Guarantee. Once payment is confirmed, cancellations must follow the formal refund process.

21.2 Buyers may request a return or refund in accordance with the BuzzLocalPH Refunds and Return Policy. All requests must comply with the specific conditions, eligible item types, and deadlines stated in that policy.

21.3 BuzzLocalPH reserves the right to cancel any transaction at its sole discretion, including for reasons related to policy violations, product availability, suspected fraud, or system errors. In such cases, the Buyer’s sole remedy shall be a refund of the full payment amount, provided the order was processed via the platform.

21.4 Approved refunds will be processed based on the actual amount paid by the Buyer for the item. Refunds will be returned using the original payment method (e.g., PayPal, GCash, bank transfer), subject to the processing times and policies of third-party payment providers.

21.5 BuzzLocalPH is not responsible for cancellations, returns, or refunds involving payments made outside the platform, including:

  • Direct bank deposits,
  • Cash payments not covered by COD features,
  • Offline agreements between Buyer and Vendor.

Disputes related to such off-platform transactions must be resolved directly between the parties involved. BuzzLocalPH does not mediate or assume liability for these cases.

22. SELLER RESPONSIBILITIES #

22.1 Vendors are fully responsible for maintaining accurate, up-to-date listings on the BuzzLocalPH platform. This includes:

  • Product names and descriptions,
  • Inventory levels and stock availability,
  • Pricing, packaging details, and any other relevant conditions.

Vendors must not publish false, misleading, or deceptive content under any circumstance.

22.2 All product prices are set by the Vendor at their sole discretion. However, the listed price must represent the total cost payable by the Buyer, inclusive of:

  • VAT or other applicable taxes,
  • Delivery fees (if included in price),
  • Any other charges.

Vendors are strictly prohibited from charging additional or hidden fees outside the platform.

22.3 BuzzLocalPH may apply promotional pricing, discounts, or incentives to products or listings to improve visibility and sales. Vendors agree to honor the final adjusted price shown to the Buyer, including those affected by site-wide or sponsored campaigns.

22.4 BuzzLocalPH may, for marketing purposes, feature or promote Vendor listings across:

  • Third-party websites (e.g., search engines, marketplaces),
  • BuzzLocalPH partner networks,
  • Online advertising platforms or directories.

By listing products, Vendors consent to such promotional use without additional compensation.

22.5 Vendors are responsible for issuing compliant receipts or invoices to Buyers, especially where required under Philippine law or BIR regulations. This includes acknowledging online transactions and recording platform sales in their accounting.

22.6 Vendors must fulfill all legal and tax obligations related to their business, including but not limited to:

  • Sales tax or VAT collection,
  • BIR registration and reporting,
  • Import/export duties or local permits.

BuzzLocalPH does not provide legal or tax advice. Vendors are strongly encouraged to consult a qualified professional to ensure compliance.

22.7 Any violation of BuzzLocalPH policies, tax laws, or local regulations may result in penalties or platform enforcement, including account suspension, withheld payouts, listing removal, or legal referral, in accordance with Section 7.1 of these Terms of Service.

23. PAID ADVERTISING #

23.1 BuzzLocalPH offers a range of Paid Advertising Services that Vendors may purchase via the Vendor Dashboard or other authorized channels. These services may include:

  • Search Ads (keyword targeting),
  • Shop Ads (store visibility placement),
  • Discovery Ads (product recommendation slots),
  • Boost Ads (performance-based promotions),
  • Display Ads (banner-style visual ads).

By purchasing any Paid Advertising Service, you agree to these Terms of Service and any additional Paid Advertising Rules published by BuzzLocalPH. If you do not agree, you must refrain from using Paid Advertising features.

23.2 To be eligible for advertising, your Vendor Account must be in good standing, meaning:

  • No outstanding balances,
  • No recent policy violations,
  • No current suspensions.

BuzzLocalPH reserves the right to determine Vendor eligibility at its sole discretion.

23.3 Vendors may schedule Display Ads by selecting campaign dates and daily budgets via the Vendor Dashboard. BuzzLocalPH will make reasonable efforts to meet those specifications, but does not guarantee:

  • 23.3.1 The exact display dates selected; or
  • 23.3.2 A specific number of impressions or clicks.

All Display Ads must comply with BuzzLocalPH’s ad design guidelines (e.g., dimensions, formatting, image quality, typography). BuzzLocalPH may reject or remove any Display Ad at any time, including in response to legal, safety, or platform policy concerns.

Advertising fees are non-refundable once the campaign begins, even if the Vendor pauses, modifies, or removes the promoted product. Vendors are responsible for entering accurate billing and invoicing information.

23.4 Advertising purchases may be funded using Advertising Credits, which are deducted on a pay-per-click or impression basis. Promotional credits issued by BuzzLocalPH may have expiration periods (e.g., 6 months) and are non-convertible. All Advertising Credit purchases are final and non-refundable, unless otherwise stated in the Paid Advertising Rules.

23.5 Vendors may configure:

  • Custom budgets,
  • Keyword targeting,
  • Campaign durations.

Additionally, Vendors may enable an Advertising Credit Top-Up Feature, which automatically deducts funds from the Seller Balance (see Section 17) if their ad credit falls below a custom threshold.

Once a campaign begins, associated credits cannot be paused, refunded, or reassigned, even if the listing is removed or sold out.

23.6 All advertised listings must comply with:

  • Philippine laws and regulations,
  • BuzzLocalPH’s Terms of Service,
  • Paid Advertising Rules,
  • The platform’s Prohibited and Restricted Items Policy.

BuzzLocalPH may remove any non-compliant promoted listing without refund or liability.

23.7 BuzzLocalPH makes no guarantee of increased visibility, clicks, or sales through advertising. Vendors purchase ads at their own risk, based on their own marketing goals and budget strategy.

23.8 BuzzLocalPH is not liable for any actual or expected losses (e.g., ad spend, operational costs, or profit forecasts) arising from ad campaign performance, unless otherwise stated in a separate written agreement.

23.9 IF, NOTWITHSTANDING THE FOREGOING, BUZZLOCALPH IS FOUND BY A COURT OF COMPETENT JURISDICTION TO BE LIABLE (INCLUDING FOR GROSS NEGLIGENCE) IN RELATION TO ANY PAID ADVERTISING SERVICE, THEN TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUZZLOCALPH’S LIABILITY SHALL BE LIMITED SOLELY TO THE AMOUNT PAID BY THE VENDOR FOR THE SPECIFIC PAID ADVERTISING SERVICE IN QUESTION.

24. PURCHASE AND SALE OF ALCOHOL AND TOBACCO PRODUCTS #

24.1 The purchase and sale of alcoholic beverages (“Alcohol”) and tobacco or tobacco-related products, including electronic cigarettes (“Tobacco Products”), are permitted on the BuzzLocalPH platform subject to strict compliance with this section and applicable laws.

By transacting in Alcohol or Tobacco Products, Buyers and approved Vendors confirm that they have read, understood, and agreed to the following terms.

For Buyers: #

24.2 If you are purchasing Alcohol or Tobacco Products:

  • 24.2.1 You represent and warrant that both you and any intended recipient are at least eighteen (18) years old;
  • 24.2.2 You agree to present a valid government-issued photo ID upon request by the Vendor, BuzzLocalPH, or delivery personnel for age verification.

For Vendors: #

24.3 If you are selling Alcohol or Tobacco Products:

  • 24.3.1 You represent and warrant that you possess all legally required permits or licenses and agree to provide such documentation upon request;
  • 24.3.2 You certify that all provided documents and business information are complete, accurate, and up to date.

For Deliveries: #

24.4 For Alcohol orders:

  • 24.4.1 Delivery personnel may request photo ID to verify the recipient’s age;
  • 24.4.2 Delivery may be refused if identification is not provided or if the recipient appears intoxicated.

24.5 For Tobacco Product orders:

  • 24.5.1 Delivery personnel may request photo ID to verify legal age;
  • 24.5.2 Delivery will be denied if the recipient fails age verification or is underage.

Liability and Indemnity: #

24.6 All Buyers and Vendors of Alcohol and Tobacco Products agree to indemnify, defend, and hold harmless BuzzLocalPH, including its affiliates, employees, and service partners, from any claims or liabilities resulting from:

  • 24.6.1 False or misleading declarations under Sections 24.2 or 24.3;
  • 24.6.2 Any breach of age-related restrictions, licensing laws, or local ordinances.

25. SELLER FEES #

25.1 BuzzLocalPH charges a Commission Fee on every successful order. The Commission Fee rate is based on the Vendor’s active subscription tier, as follows:

The Commission Fee is applied to the Gross Settlement Price, which refers to the final product price after any Vendor-issued discounts, but before site-wide promotions, rebates, or third-party subsidies.

All commission rates are inclusive of VAT and subject to change with advance notice.

25.2 BuzzLocalPH may charge an additional Transaction Fee to recover third-party costs such as payment gateway processing or special withdrawal handling. These fees are not automatically applied and will be clearly disclosed where applicable.

25.3 For international Vendors or transactions processed outside the Philippines, BuzzLocalPH may impose a Cross-Border Fee to account for additional compliance, exchange, and logistics expenses. Affected Vendors will be notified directly.

25.4 Vendors participating in optional programs — such as Boost Promotions, Shipping Incentives, or Paid Advertising Services — agree to any associated fees outlined in the corresponding service terms. BuzzLocalPH reserves the right to update these program fees with reasonable notice.

Vendors may opt out of these programs at any time by notifying BuzzLocalPH in writing, unless otherwise contractually committed.

25.5 Upon the successful completion of a transaction, BuzzLocalPH will deduct the following from the Buyer’s Purchase Monies before releasing funds to the Vendor:

  • 25.5.1 The applicable Commission Fee (based on subscription tier);
  • 25.5.2 Any declared Transaction or Cross-Border Fee;
  • 25.5.3 Platform Shipping Fees, if applicable;
  • 25.5.4 Charges from any joined seller programs;
  • 25.5.5 Legally required withholding tax, in compliance with BIR regulations.

BuzzLocalPH will issue an invoice or payment breakdown for every transaction. When applicable, a BIR Form No. 2307 (Certificate of Tax Withheld at Source) will also be provided.

Vendors are responsible for proper tax filing and compliance under all applicable Philippine laws.

26. HANDLING FEE #

26.1 BuzzLocalPH may charge a Handling Fee for successful payments processed on behalf of Users to selected third-party service providers or billers (e.g., utility companies, telecom services, top-ups, or verified partners).

26.2 The Handling Fee is the responsibility of the User initiating the transaction, and:

  • Is calculated at a fixed or percentage-based rate determined by BuzzLocalPH;
  • May vary depending on the specific biller, provider, or payment method;
  • Will be clearly disclosed prior to the confirmation of payment.

26.3 The Handling Fee is inclusive of Value-Added Tax (VAT) and reflects the operational cost of:

  • Processing payments,
  • Coordinating with third-party providers,
  • Forwarding transaction details securely.

This fee is charged net of any promotional discounts or rebates and does not affect or interact with BuzzLocalPH-wide voucher systems or incentives.

26.4 BuzzLocalPH shall issue an official receipt, invoice, or equivalent transaction record for every Handling Fee collected, in accordance with applicable laws and tax regulations.

27. DISPUTES #

27.1 In the event of a transaction-related concern, issue, or misunderstanding, Buyers and Vendors agree to attempt resolution directly, through good-faith communication via the BuzzLocalPH platform.

BuzzLocalPH may, at its discretion, assist in facilitating communication to help the parties reach a mutual agreement. However, such assistance does not constitute an obligation or guarantee of resolution.

27.2 If no resolution is reached through mutual discussion, either party may pursue independent legal remedies through:

  • Small claims tribunals,
  • Local barangay mediation boards,
  • Appropriate Philippine courts, or
  • Any competent authority in their jurisdiction.

27.3 Users agree not to initiate legal claims against BuzzLocalPH, its owners, or affiliates for disputes between Buyers and Vendors, except where BuzzLocalPH is the direct Seller or a contractual party to the transaction in question.

27.4 For transactions covered under the BuzzLocalPH Purchase Protection Guarantee, eligible Users may file a formal dispute request. BuzzLocalPH may, at its sole discretion, take the following steps:

  • Review documentation,
  • Temporarily withhold or redirect funds,
  • Issue final determinations on refund or release decisions.

BuzzLocalPH’s dispute resolution actions are voluntary and do not establish any legal obligation or liability. For full coverage terms, refer to the Refunds and Return Policy or platform FAQs.

28. FEEDBACK #

28.1 BuzzLocalPH encourages all Users to provide feedback as part of our continuous commitment to improving service quality and platform experience. To ensure that all feedback is reviewed fairly and constructively, the following guidelines apply:

  • 28.1.1 Feedback must be submitted in writing either:
    • Via email to [email protected], or
    • Through the official feedback form on the BuzzLocalPH website.
  • 28.1.2 Anonymous submissions will not be processed. Users must provide their full name and relevant contact information for verification.
  • 28.1.3 If the feedback pertains to another User or Vendor, BuzzLocalPH will notify the affected party, who will be given an opportunity to respond or clarify the matter.
  • 28.1.4 Feedback that is vague, defamatory, abusive, or lacking sufficient detail may be disregarded or archived without further action at the discretion of BuzzLocalPH.

By submitting feedback, Users acknowledge that BuzzLocalPH may use such submissions for training, process improvements, platform moderation, or case documentation.

29. DISCLAIMERS #

29.1 THE SERVICES OFFERED BY BUZZLOCALPH ARE PROVIDED “AS IS” AND WITHOUT ANY WARRANTIES, GUARANTEES, CLAIMS, OR REPRESENTATIONS OF ANY KIND — WHETHER EXPRESS, IMPLIED, OR STATUTORY.
THIS INCLUDES, WITHOUT LIMITATION:

  • IMPLIED WARRANTIES OF MERCHANTABILITY,
  • FITNESS FOR A PARTICULAR PURPOSE,
  • NON-INFRINGEMENT,
  • SYSTEM PERFORMANCE OR AVAILABILITY.

NO WARRANTIES SHALL BE IMPLIED FROM USAGE OF TRADE, COURSE OF DEALING, OR INDUSTRY PRACTICE.

To the maximum extent permitted under applicable law, BuzzLocalPH makes no guarantees that:

  • The platform or services will be continuously available, error-free, or free from malware or harmful components;
  • Technical issues or bugs will be resolved;
  • Platform content or listings are complete, timely, or accurate.

29.2 You acknowledge that you use the BuzzLocalPH platform at your own risk. BuzzLocalPH disclaims all liability related to:

  • System downtime,
  • Misuse of platform features,
  • Service interruptions,
  • Network failures or third-party issues.

29.3 BuzzLocalPH has no control over, and does not guarantee, the quality, legality, availability, or delivery of products or services sold by independent Vendors. BuzzLocalPH does not ensure:

  • That a Vendor will fulfill orders,
  • That a Buyer will complete payment,
  • Or that product descriptions match actual items.

In the event of a dispute between Users (including Buyers and Vendors), both parties agree to resolve the matter directly and to release BuzzLocalPH, its owners, employees, and affiliates from any and all claims, demands, or liabilities arising from such disputes, to the fullest extent permitted by law.

30. EXCLUSIONS AND LIMITATIONS OF LIABILITY #

30.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUZZLOCALPH SHALL NOT BE LIABLE — WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY — FOR ANY OF THE FOLLOWING, WHETHER DIRECT OR INDIRECT:

  • 30.1.1 Loss of use;
  • 30.1.2 Loss of profits, business, or revenue;
  • 30.1.3 Loss of data or business information;
  • 30.1.4 Loss of goodwill or commercial reputation;
  • 30.1.5 Failure to realize anticipated savings or opportunity;
  • 30.1.6 Any indirect, incidental, punitive, special, or consequential damages arising out of or relating to the use or inability to use the platform or its services — even if BuzzLocalPH has been advised of the possibility of such damages.

30.2 You agree that your sole and exclusive remedy for any dissatisfaction with the BuzzLocalPH platform or services is to terminate your account and discontinue use of the platform.

30.3 IF, NOTWITHSTANDING THE ABOVE, BUZZLOCALPH IS FOUND TO BE LIABLE by a court of competent jurisdiction (including for gross negligence), then BuzzLocalPH’s total liability to you or any third party shall be strictly limited to the lesser of:

  • 30.3.1 Any amounts payable under the BuzzLocalPH Purchase Protection Guarantee; or
  • 30.3.2 ₱4,000.00 (Philippine Pesos)

30.4 Nothing in these Terms shall limit or exclude liability for:

  • Death or personal injury caused by BuzzLocalPH’s proven negligence;
  • Fraud or fraudulent misrepresentation;
  • Or any liability that cannot be excluded under applicable Philippine law.

31.1 The BuzzLocalPH platform may contain links to third-party websites or external content. These links are provided solely for the convenience of Users.

BuzzLocalPH does not control, monitor, or endorse the content, accuracy, privacy policies, or security of such third-party websites. Accessing them is done entirely at your own risk.

  • BuzzLocalPH is not responsible for the availability or reliability of any external website;
  • BuzzLocalPH is not liable for any content found on or accessed through those websites;
  • The inclusion of external links does not imply endorsement, partnership, or sponsorship unless explicitly stated.

31.2 BuzzLocalPH may allow Users (including Vendors) to embed or share YouTube Content such as:

  • Livestream videos,
  • Product explainers,
  • Store features or promotions.

By sharing or embedding YouTube content on BuzzLocalPH, you agree to comply with all applicable YouTube Terms of Service and related policies.

BuzzLocalPH:

  • Is not responsible for YouTube video availability, performance, or compliance;
  • Reserves the right to remove any embedded media that violates content standards or legal requirements.

32. USER CONTRIBUTIONS TO THE PLATFORM #

32.1 By submitting any content to BuzzLocalPH — including but not limited to product descriptions, images, videos, store banners, promotional materials, and metadata (collectively, “Content”) — you represent and warrant that:

  • You have the full legal right and authority to submit such Content;
  • The Content is accurate, lawful, and complies with applicable intellectual property laws;
  • You are solely responsible for the Content you upload or publish via the platform.

32.2 You hereby grant BuzzLocalPH and its successors a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to:

  • Use, display, adapt, modify, publish, distribute, and reproduce your Content,
  • Create derivative works based on it,
  • Use it in promotional campaigns, vendor showcases, blogs, or ads in any format or channel, including but not limited to web, mobile, and social media.

You also waive all moral rights (or equivalent rights under local law) associated with your submitted Content, to the fullest extent permitted by law.

32.3 If you voluntarily submit any ideas, proposals, feedback, or suggestions to BuzzLocalPH (each, a “Submission”), you agree that:

  • Such Submissions are not confidential;
  • BuzzLocalPH may use them for product development, service enhancement, or marketing, without compensation to you;
  • BuzzLocalPH and/or its partners may independently develop similar ideas or features.

By submitting ideas or concepts, you grant BuzzLocalPH a license to use them under the same terms outlined in Section 32.2.

32.4 This section does not apply to personal data protected under the BuzzLocalPH Privacy Policy, unless you have chosen to publish that data as part of public-facing content.

33.1 Users and Vendors who contribute data, text, images, videos, audio, software, or any other content (“Third-Party Contributions”) are solely responsible for:

  • Ensuring accuracy and legal compliance;
  • Holding or securing all necessary intellectual property rights;
  • Following applicable platform rules, regulations, and content standards.

BuzzLocalPH does not actively monitor, review, or verify third-party content and assumes no responsibility or liability for the legality, accuracy, or appropriateness of any material submitted by Users.

By using the platform, you agree not to hold BuzzLocalPH liable for any actions, omissions, or content submitted by other Users, including vendors and buyers.

33.2 The BuzzLocalPH platform may include links, integrations, or references to third-party websites, tools, services, or applications. These external resources:

  • Are not owned or controlled by BuzzLocalPH;
  • Are governed by their own privacy policies, terms of use, and data handling practices;
  • Are the sole responsibility of the third-party provider.

BuzzLocalPH is not liable for:

  • The security or functionality of external services;
  • The quality, truthfulness, or accuracy of third-party content;
  • Any losses or damage incurred by using or interacting with these third-party services.

33.3 BuzzLocalPH reserves the right to disable or remove third-party links or tools from the platform at its sole discretion, particularly when:

  • They violate these Terms of Service;
  • They pose a risk to platform security or user privacy;
  • They are reported as abusive, misleading, or non-compliant with laws or policies.

34. YOUR REPRESENTATIONS AND WARRANTIES #

34.1 By using the BuzzLocalPH platform and its Services, you represent and warrant the following:

  • 34.1.1 You have the legal capacity to enter into and comply with these Terms of Service. If you are a minor, you confirm that you have obtained valid consent from a parent or legal guardian to use the platform and be legally bound by these Terms.
  • 34.1.2 You will use the Services only for lawful purposes and in full compliance with these Terms, as well as all applicable local, national, and international laws, rules, and regulations.
  • 34.1.3 If you are acting on behalf of a juridical entity (e.g., sole proprietorship, partnership, corporation, cooperative, or one-person corporation), you have the lawful authority to bind that entity to these Terms.
  • 34.1.4 You are not located in, nor are you a resident of, any country or territory subject to international sanctions or trade restrictions, including but not limited to Iran, Cuba, Syria, North Korea, and the Crimea, Donetsk, or Luhansk regions of Ukraine.

35. FRAUDULENT OR SUSPICIOUS ACTIVITY #

35.1 If BuzzLocalPH, in its sole discretion, believes that you may have engaged in any fraudulent or suspicious activity or transaction, the platform may take any of the following protective actions to safeguard Buyers, Vendors, the platform, and its third-party partners:

  • 35.1.1 Close, suspend, or limit your access to your Account or Services, and/or pause the processing of any ongoing transactions;
  • 35.1.2 Suspend your eligibility under the BuzzLocalPH Purchase Protection Guarantee;
  • 35.1.3 Hold, apply, or transfer funds in your Account in compliance with court orders or legal judgments issued by Philippine or foreign authorities;
  • 35.1.4 Refuse to provide Services to you now or in the future;
  • 35.1.5 Hold your funds for a period deemed reasonable to protect against loss, chargebacks, or liability;
  • 35.1.6 Work with payment service providers or partner institutions to recover or block funds related to suspected fraudulent activity.

📘 Definitions (as used in this section): #

  • Chargeback – A reversal initiated by a Buyer with their bank or card issuer to dispute a payment.
  • Claim – A formal dispute filed by either a Buyer or Vendor regarding a transaction conducted on the platform.
  • Reversal – A transaction voided by BuzzLocalPH due to one or more of the following:
    • (a) Invalidation by the sender’s bank;
    • (b) Remittance error;
    • (c) Unauthorized or fraudulent payment;
    • (d) Violation of BuzzLocalPH Terms or policies;
    • (e) A decision in favor of a disputing party after investigation.

36. FORCE MAJEURE #

36.1 BuzzLocalPH shall not be held liable for any failure or delay in the performance of its obligations under these Terms of Service if such failure or delay is caused by events beyond its reasonable control. These events may include, but are not limited to:

  • Acts of God (e.g., earthquakes, typhoons, floods, or other natural disasters);
  • Government actions, regulations, or mandates (including lockdowns or import/export restrictions);
  • Wars, terrorism, civil unrest, or armed conflicts;
  • Labor disputes or strikes (whether or not involving BuzzLocalPH employees);
  • Internet outages, power failures, system interruptions, or cyberattacks not caused by BuzzLocalPH’s gross negligence;
  • Any other force majeure event or unforeseen circumstance that renders performance commercially impracticable.

36.2 In the event of a force majeure, BuzzLocalPH’s obligations will be suspended for the duration of the disruption. We will resume full performance as soon as it is reasonably possible.

If such an event continues for more than thirty (30) consecutive days, either party may terminate this agreement by providing written notice — without penalty or further liability.


37. SEVERABILITY #

37.1 If any provision of these Terms of Service is determined to be unlawful, invalid, or unenforceable in any jurisdiction, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

This clause applies independently across jurisdictions and ensures the rest of the agreement remains intact, even if one clause fails.

38. NOTICES, ACKNOWLEDGMENT, AND DIGITAL SIGNATURE #

38.1 All notices or formal communications required or permitted under these Terms of Service must be delivered in writing and shall be deemed properly given when delivered by one of the following methods:

  • By email to the registered email address associated with your BuzzLocalPH account;
  • By BuzzLocalPH, to any contact information you have provided or updated in your Account Settings;
  • By posting a general notice directly on the BuzzLocalPH website or mobile application, which shall serve as notice to all Users.

38.2 Notices shall be considered received:

  • For emails: on the date sent, unless a delivery failure notification is received;
  • For postal mail or courier: five (5) business days after dispatch;
  • For platform announcements: immediately upon publication on the BuzzLocalPH site or app.

38.3 Legal notices or formal correspondence directed to BuzzLocalPH must be sent to:

Acknowledgment and Digital Signature #

38.4 By accessing or using the BuzzLocalPH platform, you confirm that you have read, understood, and agreed to be bound by these Terms of Service, including all referenced policies, updates, and any future amendments published on the platform.

38.5 You further acknowledge and agree that:

  • 38.5.1 You have had the opportunity to review these Terms before proceeding with account registration or using the Services;
  • 38.5.2 These Terms constitute a legally binding agreement between you and BuzzLocalPH;
  • 38.5.3 Your continued use of the platform constitutes your ongoing acceptance of all modifications to the Terms.

38.6 By clicking “Sign Up”, “Connect with Facebook”, “Connect with Google”, or similar registration buttons, you agree that such action constitutes a valid digital signature with the same legal force and effect as a handwritten signature, in accordance with applicable laws.
